- This Purchase Order is issued by SaiGon Vision Care Group Co., Ltd., a registered entity operating in Ho Chi Minh City, Vietnam, and is directed to the named optometrist supplier for the procurement of optical diagnostic equipment, corrective lenses, frames, and professional training services as itemized above.
- All equipment and materials referenced in this Purchase Order must comply with the Ministry of Health of Vietnam standards for optometrist practice and optical device safety regulations effective as of the date of this document.
- The optometrist supplier, Dr. Nguyen Van Minh, is responsible for ensuring that all diagnostic instruments (Items 01, 02, 06, 07) are fully calibrated, CE-marked or FDA-equivalent certified, and accompanied by valid Vietnamese import documentation prior to delivery at the designated warehouse in District 7, Ho Chi Minh City.
- Delivery of all physical goods under this Purchase Order shall be completed no later than 05 July 2025 at the delivery address specified above. Late delivery beyond five (5) business days will incur a penalty of 0.5% of the affected line item value per day, capped at 10% of the total Purchase Order value.
- Payment shall be made via bank transfer to the supplier's registered account in Ho Chi Minh City within thirty (30) calendar days of receipt of a valid VAT invoice (Hóa đơn giá trị gia tăng) conforming to Vietnamese tax authority requirements.
- The optometrist continuing education seats (Item 05) must be reserved for the named staff members of SaiGon Vision Care Group and are non-transferable. The training venue shall be located within Ho Chi Minh City limits.
- All corrective lenses (Item 03) must be manufactured to the specific prescriptions provided by our in-house optometrist team. The supplier optometrist shall verify each prescription batch before production and confirm fit parameters in writing.
- This Purchase Order is governed by the Civil Code of the Socialist Republic of Vietnam and applicable commercial regulations. Any disputes arising from this Purchase Order shall be resolved through the People's Court of District 1, Ho Chi Minh City, or by arbitration at the Vietnam International Arbitration Centre (VIAC) in Ho Chi Minh City.
- The supplier warrants that all goods are new, unused, and free from defects. A minimum twelve (12) month warranty applies to all electronic optometrist diagnostic equipment. Warranty claims must be submitted in writing within thirty (30) days of defect discovery.
- This Purchase Order becomes effective upon written acceptance by both parties. No modifications to scope, pricing, or delivery schedules shall be valid unless documented in a signed amendment to this Purchase Order.
