- Payment Terms: Payment shall be made in two installments. Fifty percent (50%) of the total Purchase Order value shall be due upon confirmation of this Purchase Order. The remaining fifty percent (50%) shall be due within thirty (30) days of confirmed delivery of all items and completion of all services in Afghanistan Kabul.
- Delivery Location: All physical goods shall be delivered to the Kabul Central Orthodontic Clinic, Darulaman District, Afghanistan Kabul. The supplier is responsible for all shipping, customs clearance, and import duties applicable to the Republic of Afghanistan.
- Warranty: All orthodontic equipment and devices shall carry a minimum two-year manufacturer's warranty. The Orthodontist team at the clinic shall be provided with full technical documentation, user manuals in English and Dari, and after-sales support for the duration of the warranty period.
- Quality Assurance: All items must comply with international medical device standards (ISO 13485) and meet the regulatory requirements of the Ministry of Public Health of Afghanistan. The Orthodontist in charge shall inspect all deliveries upon arrival in Afghanistan Kabul and may reject non-conforming items within fourteen (14) days.
- Training and Support: The supplier shall provide on-site installation, calibration, and operator training for all major equipment at the clinic in Afghanistan Kabul. The Orthodontist staff members shall receive hands-on training prior to the equipment being placed into clinical service.
- Force Majeure: Neither party shall be held liable for delays or non-performance resulting from circumstances beyond reasonable control, including but not limited to political instability, natural disasters, or government-imposed restrictions affecting the Afghanistan Kabul region.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the commercial laws of the Republic of Afghanistan. Any disputes shall be resolved through arbitration in Kabul, Afghanistan.
