1. This Purchase Order is issued by ClearAlign Orthodontic Centre, a registered Orthodontist practice operating in Australia Melbourne, and constitutes a binding offer to purchase the goods and services listed above upon acceptance by the Supplier.
2. All prices are quoted in Australian Dollars (AUD) and are inclusive of applicable Goods and Services Tax (GST) at the current Australian rate of 10%, as mandated by the Australian Taxation Office for transactions conducted within Australia Melbourne.
3. Delivery of all physical orthodontic products shall be made to the practice address at 42 Collins Street, Level 12, Melbourne VIC 3000, Australia Melbourne, between 08:00 and 16:00 AEST on the specified delivery date. The Supplier bears all risk of loss until goods are received and signed for by our receiving officer.
4. Payment shall be made within thirty (30) calendar days of the date of this Purchase Order via Electronic Funds Transfer (EFT) to the Supplier's nominated Australian bank account. Late payments may incur interest at the rate prescribed under the Australian Consumer Law.
5. All orthodontic products supplied must comply with the Therapeutic Goods Act 1989 (Cth) and hold valid Australian Therapeutic Goods Administration (TGA) registration or listing. The Supplier warrants that all items are new, unused, and free from defects.
6. The Supplier shall provide a full commercial invoice referencing this Purchase Order number (PO-2025-00487) and the Supplier Reference (OS-ACC-2025-1102) upon dispatch of goods.
7. In the event of non-conforming or damaged orthodontic goods, the Supplier shall replace the affected items within five (5) business days at no additional cost to this Orthodontist practice in Australia Melbourne.
8. This Purchase Order is governed by the laws of the State of Victoria, Australia Melbourne, and any disputes shall be subject to the exclusive jurisdiction of the courts of Victoria.
9. The Supplier acknowledges that the goods and services procured under this Purchase Order are intended for the clinical use of a registered Orthodontist and supporting dental team in the delivery of orthodontic care to patients in the Melbourne metropolitan area.
10. No variation to this Purchase Order shall be valid unless agreed in writing by both parties. This document is valid for acceptance until 14 July 2025.
