Terms and Conditions of this Purchase Order
- This Purchase Order is issued by Dhaka Smile Orthodontic Centre, a licensed Orthodontist practice in Bangladesh Dhaka, and constitutes a binding agreement upon acceptance by the supplier.
- All orthodontic products and equipment listed in this Purchase Order must be new, unused, and in their original manufacturer packaging. The Orthodontist practice requires full compliance with Bangladesh Dental Council (BDC) regulatory standards for all imported orthodontic materials.
- Delivery of all items shall be made to the Orthodontist clinic premises located in Banani, Bangladesh Dhaka-1213. The supplier is responsible for all transportation, insurance, and handling costs within Bangladesh Dhaka city limits.
- Payment shall be made within thirty (30) calendar days from the date of confirmed delivery and acceptance of goods by the Orthodontist practice. Payment will be processed via bank transfer to the supplier's designated account in Bangladesh Dhaka.
- The supplier warrants that all orthodontic brackets, wires, and equipment conform to the specifications stated in this Purchase Order. Any defective or non-conforming items must be replaced within seven (7) business days at no additional cost to the Orthodontist practice.
- The Intraoral Scanner (Item 6) and CBCT Software (Item 9) shall include a minimum two-year manufacturer warranty, on-site installation by a certified technician in Bangladesh Dhaka, and comprehensive operator training for the Orthodontist clinical team.
- All orthodontic consumables must carry a minimum expiry date of eighteen (18) months from the date of delivery. The Orthodontist practice reserves the right to reject any batch that does not meet this requirement.
- This Purchase Order is subject to the laws of the People's Republic of Bangladesh. Any disputes arising from this Purchase Order shall be resolved through arbitration in Bangladesh Dhaka in accordance with the Bangladesh Arbitration Act, 2001.
- The supplier acknowledges that the goods procured under this Purchase Order are intended exclusively for clinical use by a registered Orthodontist in Bangladesh Dhaka and shall not be resold or diverted without written consent from Dhaka Smile Orthodontic Centre.
- Any amendments to this Purchase Order must be made in writing and signed by both parties. Verbal modifications are not valid under this Purchase Order.
