4. Terms & Conditions

This Purchase Order constitutes a binding agreement between the purchasing Orthodontist practice in China Guangzhou and the supplying vendor for the procurement of orthodontic equipment, consumables, software, and professional training services as itemized above.
All goods shall conform to the National Medical Products Administration (NMPA) of China and ISO 13485 medical device quality standards. The Orthodontist practice reserves the right to reject any shipment that does not meet these regulatory requirements.
Delivery shall be made DDP (Delivered Duty Paid) to the Guangzhou Pearl River Orthodontic Center address listed in Section 1. All customs clearance, import duties, and local logistics within China Guangzhou are the responsibility of the Seller.
Payment shall be executed via bank transfer to the Seller's designated account within thirty (30) calendar days of the date of invoice, provided all goods have been received and inspected by the Orthodontist practice team without defect.
The Seller warrants that all orthodontic materials are new, unused, and within their stated shelf life. A minimum twelve (12) month warranty applies to all capital equipment (digital scanners, CBCT software) from the date of installation at the Guangzhou facility.
Any deviation from the specifications listed in this Purchase Order must be approved in writing by Dr. Liang Wei, Chief Orthodontist, prior to shipment. Unauthorized substitutions will result in immediate rejection and a credit note.
Intellectual property: The CBCT software license is non-transferable and restricted to use solely within the China Guangzhou premises of the purchasing Orthodontist practice. Unauthorized replication or redistribution is prohibited under PRC Copyright Law.
Dispute resolution: Any disputes arising from this Purchase Order shall be resolved through arbitration at the China International Economic and Trade Arbitration Commission (CIETAC), Guangzhou Sub-Commission. The governing law shall be the Civil Code of the People's Republic of China.
This Purchase Order is valid for acceptance within ten (10) business days of the issue date. The Orthodontist practice in China Guangzhou may amend or cancel this order in writing prior to the Seller's confirmation of production or shipment.
All communications regarding this order shall be conducted in English or Mandarin Chinese. In the event of any translation discrepancy, the English version of this Purchase Order shall prevail.

5. Delivery & Logistics Notes

Primary delivery location: Guangzhou Pearl River Orthodontic Center, No. 88 Tianhe Road, Tianhe District, Guangzhou, Guangdong, China 510620. The Orthodontist practice will assign a receiving coordinator (Ms. Huang Min, Logistics Officer) to be on-site during the delivery window of 09:00–17:00 CST on the scheduled dates. The Seller must provide a minimum of 48 hours' advance notice with tracking numbers and a packing list. All orthodontic equipment must be packaged in climate-controlled, shock-absorbing crates suitable for transport within China Guangzhou and the broader Pearl River Delta region.
