- Payment Terms: 40% advance payment upon confirmation of this Purchase Order; 60% balance due within 15 business days of confirmed delivery and acceptance at the Orthodontist's clinic in Kinshasa, DR Congo. Payment shall be made via bank transfer to the supplier's account at Banque Commerciale du Congo, Kinshasa branch.
- Delivery: All items listed in this Purchase Order shall be delivered to the Clinique Orthodontique de Kinshasa, 12 Avenue du Commerce, Gombe, Kinshasa, DR Congo, no later than 30 July 2025. The supplier is responsible for all customs clearance, import documentation, and regulatory compliance with the Agence Congolaise de Normalisation (ACNORM) and the Ministère de la Santé Publique of the DR Congo.
- Quality Assurance: All orthodontic materials and equipment must meet ISO 13485 medical device standards. The Orthodontist reserves the right to inspect and reject any items that do not conform to the specifications outlined in this Purchase Order. Rejected items must be replaced within 10 business days at the supplier's expense.
- Warranty: The digital intraoral scanner (Item 09) carries a 24-month manufacturer's warranty. The CBCT software license (Item 11) includes 12 months of technical support and updates. The autoclave (Item 12) carries an 18-month warranty. All warranties are valid for use within DR Congo Kinshasa.
- Installation and Training: The supplier shall provide on-site installation of the digital intraoral scanner and CBCT software at the Orthodontist's practice in Kinshasa, DR Congo, and shall conduct a minimum of 8 hours of hands-on training for the Orthodontist and two (2) clinical assistants.
- Regulatory Compliance: The supplier guarantees that all medical devices and orthodontic supplies comply with the regulatory requirements of the DR Congo, including registration with the Direction Générale de la Pharmacie et du Médicament (DGM). All necessary import permits and sanitary certificates for DR Congo Kinshasa shall be obtained by the supplier prior to shipment.
- Force Majeure: Neither party shall be liable for delays caused by events beyond reasonable control, including but not limited to port congestion at the Port of Matadi, political instability, or government-imposed trade restrictions within the DR Congo.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the commercial laws of the DR Congo. Any disputes arising from this Purchase Order shall be resolved through arbitration in Kinshasa, DR Congo, in accordance with the rules of the Centre d'Arbitrage de Kinshasa.
- Validity: This Purchase Order is valid for acceptance within 14 calendar days from the date of issue. Prices are quoted in United States Dollars (USD) and are fixed for the duration of this order.
