- This Purchase Order is issued by Dr. Katharina Weber, Orthodontist, operating Weber Orthodontic Center in Berlin, Germany, and constitutes a binding procurement request for the orthodontic goods and materials listed above.
- All items shall be delivered to the Orthodontist's practice premises at Unter den Linden 42, 10117 Berlin, Germany, no later than the Required Delivery Date stated in the header of this Purchase Order. Late delivery beyond five (5) business days entitles the buyer to cancel this Purchase Order without penalty.
- The seller, DentalPro Europe GmbH, confirms that all orthodontic products listed in this Purchase Order comply with the Medical Device Regulation (EU) 2017/745 and carry valid CE marking for use within Germany and the European Union.
- Payment shall be made via SEPA bank transfer to the account specified on the seller's invoice within thirty (30) calendar days of the invoice date. The buyer reserves the right to withhold payment for any items that do not conform to the specifications in this Purchase Order.
- All orthodontic materials and equipment supplied under this Purchase Order must be new, unused, and within their manufacturer's stated shelf life. The Orthodontist in Germany Berlin requires a minimum of twelve (12) months remaining shelf life on all consumable items at the time of delivery.
- The seller shall provide a detailed packing list and certificate of conformity for each batch of orthodontic products. The Orthodontist's practice in Berlin, Germany, will inspect all goods upon receipt and notify the seller of any discrepancies within five (5) business days.
- This Purchase Order is governed by the laws of the Federal Republic of Germany. Any disputes arising from this Purchase Order shall be subject to the exclusive jurisdiction of the competent courts in Berlin, Germany.
- The Orthodontist reserves the right to modify, amend, or cancel this Purchase Order in whole or in part by written notice to the seller. Any such modification shall be documented in a written addendum signed by both parties.
