Terms and Conditions
- This Purchase Order is issued for the procurement of orthodontic equipment and consumable materials required for the daily clinical operations of the Orthodontist practice located in Frankfurt am Main, Germany. All items must comply with the Medical Device Regulation (MDR) 2017/745 of the European Union and carry valid CE marking.
- The supplier shall deliver all goods to the specified delivery address in Frankfurt, Germany, no later than 21 June 2025. Delivery shall be made between 08:00 and 16:00 CET on business days. The Orthodontist or an authorized practice staff member must be present to inspect and sign for the delivery upon arrival.
- All orthodontic products listed in this Purchase Order must be new, unused, and within their stated shelf life. The supplier warrants that all materials meet the quality standards expected by a licensed Orthodontist operating under the German Federal Medical Association (Bundesärztekammer) regulations.
- Payment shall be made via SEPA Direct Debit within thirty (30) calendar days of the date of the supplier's invoice. Late payments shall incur interest at the statutory rate under Section 288 of the German Civil Code (BGB).
- The buyer reserves the right to inspect all delivered goods within five (5) business days of receipt. Any items found to be defective, damaged, or non-conforming to the specifications in this Purchase Order must be reported in writing to the supplier, who shall replace or refund the affected items at no additional cost.
- This Purchase Order is governed by the laws of the Federal Republic of Germany. Any disputes arising from this agreement shall be subject to the exclusive jurisdiction of the competent courts in Frankfurt am Main, Germany.
- The supplier acknowledges that the end-user of all orthodontic materials is a licensed Orthodontist practicing in Frankfurt, Germany, and that all products are intended solely for professional dental and orthodontic use in a clinical setting.
- Any modifications to this Purchase Order must be made in writing and signed by both parties. Verbal agreements or informal communications shall not constitute a valid amendment to the terms herein.
- The supplier shall maintain full product traceability documentation, including batch numbers and manufacturing dates, for all orthodontic items delivered under this Purchase Order, in accordance with German pharmaceutical and medical device tracking requirements.
