All goods listed in this Purchase Order shall be delivered to the Orthodontist practice premises located at Maximilianstraße 42, 80539 Munich, Germany. The supplier is responsible for arranging transport within the Munich metropolitan area. Delivery shall be made between 08:00 and 16:00 CET on the specified delivery date. The receiving contact at the practice is Ms. Katrin Müller, Practice Manager, reachable at +49 89 555 0142 ext. 3. All orthodontic materials must be stored in temperature-controlled packaging (15 °C – 25 °C) during transit to ensure material integrity. The supplier shall provide a delivery note (Lieferschein) and a commercial invoice (Rechnung) in German, accompanied by a copy in English, upon delivery. Goods will be inspected within 48 hours of receipt at the Munich practice. Any discrepancies in quantity, condition, or specification must be reported to the supplier in writing within five (5) business days.
5. Terms and Conditions- 5.1 This Purchase Order is governed by the laws of the Federal Republic of Germany. Any disputes arising from this Purchase Order shall be subject to the exclusive jurisdiction of the competent courts in Munich, Germany.
- 5.2 All orthodontic products supplied under this Purchase Order must comply with the European Medical Devices Regulation (EU) 2017/745 and carry a valid CE marking. The supplier warrants that all items are new, unused, and free from defects.
- 5.3 Payment shall be made via SEPA bank transfer to the supplier's designated account within thirty (30) calendar days of the invoice date. Late payments shall incur interest at the statutory rate under § 288 of the German Civil Code (BGB).
- 5.4 The Orthodontist practice reserves the right to reject any delivery that does not conform to the specifications outlined in this Purchase Order. Rejected items shall be returned at the supplier's expense.
- 5.5 The supplier shall maintain full product liability insurance in accordance with German commercial law (HGB) and shall provide proof of coverage upon request.
- 5.6 This Purchase Order becomes binding upon written or electronic confirmation by both parties. Amendments must be made in writing and signed by both the Orthodontist practice representative and the supplier's authorised signatory.
- 5.7 The supplier acknowledges that the purchased orthodontic materials are intended for use in a licensed dental practice registered with the Bavarian State Dental Association (Bayerische Landeszahnärztekammer) in Munich, Germany, and shall comply with all applicable data protection regulations (GDPR) regarding patient-related documentation.
- 5.8 In the event of force majeure, the affected party shall notify the other within 48 hours. Delivery deadlines may be extended by a reasonable period not exceeding fourteen (14) days.
