Terms and Conditions of This Purchase Order
- This Purchase Order is issued by Asante Orthodontic Centre, a registered Orthodontist practice operating in Ghana Accra, and constitutes a binding request for the supply of the goods and services listed above.
- All items must be delivered to the specified address in Accra, Ghana, no later than the Required Delivery Date stated above. Late delivery beyond five (5) business days entitles the Orthodontist practice to a 2% discount per week on the affected line items.
- The supplier, MediDent West Africa Ltd., warrants that all orthodontic products supplied under this Purchase Order are new, unused, and comply with the standards set by the Pharmacy Council of Ghana and the Ghana Standards Authority.
- Payment shall be made via bank transfer to the supplier's designated account within thirty (30) calendar days of receipt of a valid tax invoice. The Orthodontist practice reserves the right to withhold payment for any items found defective or non-conforming upon inspection in Ghana Accra.
- The digital intraoral scanner and cephalometric X-ray unit shall be installed, calibrated, and made operational by the supplier's certified technicians at the Orthodontist's clinic in Osu, Accra. A training session of no fewer than eight (8) hours for the clinical team shall be included at no additional cost.
- All equipment is covered by a minimum two-year manufacturer's warranty. The supplier shall provide a dedicated after-sales support line accessible within Ghana Accra for the duration of the warranty period.
- This Purchase Order is governed by the laws of the Republic of Ghana. Any disputes arising from this document shall be resolved through arbitration in Accra in accordance with the Arbitration Act, 2099 (Act 627).
- The supplier acknowledges that the goods are procured for use by a licensed Orthodontist in the provision of dental and orthodontic care to patients in Ghana Accra and the surrounding Greater Accra Region.
- Any amendments to this Purchase Order must be made in writing and signed by both parties. Verbal modifications are not valid.
- This Purchase Order is valid for acceptance within fourteen (14) days of the date of issue. Failure to confirm acceptance within this period shall render this document null and void.
