- This Purchase Order is issued by SmileCraft Orthodontics, a registered orthodontic practice located in Bengaluru (Bangalore), Karnataka, India, and constitutes a binding procurement agreement upon acceptance by the supplier.
- All orthodontic items listed above must be of genuine, manufacturer-certified quality. The supplier shall provide certificates of origin, batch numbers, and expiry dates for all consumable orthodontic materials.
- Delivery shall be completed at the buyer's clinic premises in Indiranagar, Bangalore, India, no later than 28 June 2025. Late delivery beyond the stipulated date shall attract a penalty of 1% of the total Purchase Order value per day of delay, up to a maximum of 10%.
- Payment shall be made via NEFT/RTGS to the supplier's designated bank account within 30 days of receipt of a valid GST-compliant tax invoice. The buyer reserves the right to withhold payment for any defective or non-conforming orthodontic goods.
- The supplier warrants that all orthodontic brackets, wires, ligatures, and instruments are free from defects in material and workmanship for a period of twelve (12) months from the date of delivery in Bangalore.
- In the event of any dispute arising from this Purchase Order, the matter shall be subject to the exclusive jurisdiction of the competent courts in Bengaluru (Bangalore), Karnataka, India.
- This Purchase Order is governed by the laws of India, including the Indian Contract Act, 1872, and the Goods and Services Tax (GST) Act, 2017.
- The supplier shall maintain adequate insurance coverage for all goods in transit to the delivery location in Bangalore, India, and shall bear all risk of loss or damage until the goods are physically received and inspected by the buyer's orthodontic team.
- Any amendments or modifications to this Purchase Order must be made in writing and signed by both parties. Verbal communications shall not constitute a valid amendment.
- The supplier acknowledges that the buyer is a licensed orthodontist practice and that all procured items are intended exclusively for professional orthodontic treatment of patients in the Bangalore, India region.
