3. Purchase Order Description
This Purchase Order is issued by SmileCare Orthodontic Centre Pvt. Ltd., a registered Orthodontist practice operating in India New Delhi, for the procurement of orthodontic equipment, consumables, and professional services required for the continued operation of our specialist clinic. This Purchase Order governs all terms, conditions, pricing, delivery schedules, and quality standards applicable to the items and services listed herein. The vendor acknowledges that all goods and services shall be delivered to our facility located in New Delhi, India, and shall comply with all applicable regulations set forth by the Dental Council of India and the Food and Drug Administration (FDA) of India.

5. Delivery & Installation Details
All items listed in this Purchase Order shall be delivered to the SmileCare Orthodontic Centre facility at 214, Connaught Place, New Delhi, India – 110001. The vendor shall ensure that all orthodontic equipment is delivered in original, unopened packaging with valid manufacturing and expiry dates. The Intraoral Scanner (Item No. 5) shall be installed and calibrated on-site by the vendor's certified technician, and a minimum of four hours of hands-on training shall be provided to the Orthodontist and assisting dental staff. Delivery is expected within 21 calendar days from the date of this Purchase Order, unless otherwise agreed in writing.
6. Payment Terms
Payment against this Purchase Order shall be made via National Electronic Funds Transfer (NEFT) or Real-Time Gross Settlement (RTGS) to the vendor's designated bank account. The payment schedule is as follows: 40% advance payment upon confirmation of this Purchase Order, 40% upon delivery and acceptance of all goods at our New Delhi, India premises, and the remaining 20% within 30 days of the final invoice. All amounts are quoted in Indian Rupees (INR) and are inclusive of applicable taxes as specified. Late payments shall attract interest at the rate of 1.5% per month as per the Micro, Small and Medium Enterprises Development (MSMED) Act, 2006, if the vendor qualifies as an MSME registered in India New Delhi.
7. Terms & Conditions
- This Purchase Order is subject to the approval of the Lead Orthodontist and the Managing Director of SmileCare Orthodontic Centre Pvt. Ltd., New Delhi, India.
- All orthodontic products supplied must carry valid BIS (Bureau of Indian Standards) certification and comply with the Drugs and Cosmetics Act, 1940, as applicable in India.
- The vendor warrants that all equipment and materials are new, unused, and free from defects for a minimum period of 24 months from the date of delivery.
- The Orthodontist team at our clinic reserves the right to inspect and reject any item that does not meet the specifications outlined in this Purchase Order. Rejected items must be replaced within 7 working days at no additional cost.
- Intellectual property rights for all proprietary orthodontic software and digital content remain with the respective manufacturers. The vendor grants a non-transferable license for use within the clinic premises in New Delhi, India only.
- In the event of a dispute arising from this Purchase Order, both parties agree to resolve the matter through arbitration in New Delhi, India, in accordance with the Arbitration and Conciliation Act, 1996. The jurisdiction of the courts in New Delhi, India shall be exclusive.
- This Purchase Order shall remain valid until 14 July 2025. Any modifications or amendments must be made in writing and signed by authorized representatives of both parties.
- The vendor shall maintain comprehensive product liability insurance covering all orthodontic equipment supplied under this Purchase Order, with a minimum coverage of INR 50,00,000.
- Confidentiality: Both parties agree to treat all patient data, clinical protocols, and business information exchanged under this Purchase Order as strictly confidential, in compliance with the Digital Personal Data Protection Act, 2023, applicable in India.
