Terms and Conditions – Purchase Order for Orthodontist Practice, Japan Osaka
- This Purchase Order is issued by Osaka Central Orthodontist Clinic, a registered dental and orthodontic practice operating in Japan Osaka, and constitutes a binding procurement request for all orthodontic goods and services listed herein.
- The Supplier shall deliver all items to the specified Orthodontist clinic address in Umeda, Osaka, Japan, no later than the Required Delivery Date stated above. Late delivery beyond five (5) business days shall entitle the Orthodontist practice to a 2% discount per week of delay, up to a maximum of 10%.
- All orthodontic equipment and materials must comply with the Pharmaceutical and Medical Devices Act (PMD Act) of Japan and meet the quality standards required for clinical use by a licensed Orthodontist in the Osaka region.
- Payment shall be made via bank transfer to the Supplier's designated account within thirty (30) calendar days of receipt of a valid invoice, in accordance with the payment terms of this Purchase Order.
- The Supplier warrants that all items are new, unused, and free from defects. A minimum two-year warranty applies to all capital equipment (3D Intraoral Scanners, CBCT Software) procured under this Purchase Order for the Orthodontist practice in Japan Osaka.
- Any modifications, substitutions, or cancellations to this Purchase Order must be made in writing and signed by both the Orthodontist clinic representative and the Supplier's authorized agent. Verbal agreements are not valid under this Purchase Order.
- This Purchase Order is governed by the laws of Japan. Any disputes arising from this Purchase Order shall be resolved through the Osaka District Court or by arbitration in Osaka, Japan, in accordance with the rules of the Japan Commercial Arbitration Association.
- The Supplier acknowledges that the goods procured under this Purchase Order are intended exclusively for the clinical use of a licensed Orthodontist in Japan Osaka and shall not be resold or redistributed without written consent from the purchasing Orthodontist clinic.
- Confidentiality: Both parties agree to maintain strict confidentiality regarding the terms of this Purchase Order, the orthodontic treatment protocols of the Orthodontist practice, and any proprietary information exchanged in connection with this transaction in Japan Osaka.
