Payment Terms: 50% advance payment within 5 business days of this Purchase Order acceptance; 50% balance due within 10 business days of confirmed delivery and installation at the orthodontist practice premises in Almaty, Kazakhstan. Payment shall be made via bank transfer to the supplier's account registered with the National Bank of Kazakhstan.
Delivery Terms: The supplier shall deliver all items to the Almaty Orthodontic Center LLP facility located at 142 Abai Avenue, Almaty, Kazakhstan, no later than 30 June 2025. Delivery shall be made during standard business hours (09:00–18:00, Monday through Friday, Kazakhstan time, UTC+5).
Warranty: All equipment items, including the intraoral digital scanner, shall carry a minimum 24-month manufacturer's warranty. Consumable items are warranted to be free from defects at the time of delivery. The orthodontist practice reserves the right to reject non-conforming goods within 14 calendar days of receipt.
Regulatory Compliance: All orthodontic products supplied under this Purchase Order must comply with the sanitary-epidemiological requirements of the Republic of Kazakhstan, hold valid registration with the State Sanitary-Epidemiological Service of Almaty, and meet the quality standards set forth by the Ministry of Health of Kazakhstan. The supplier shall provide all necessary certificates of conformity, import declarations, and product registration documents prior to delivery.
Installation and Training: The supplier is responsible for the on-site installation and calibration of the 3Shape TRIOS 5 intraoral scanner at the orthodontist's clinic in Kazakhstan Almaty. A minimum of 8 hours of hands-on training for the orthodontist team (up to 4 clinicians) shall be provided at no additional cost.
Force Majeure: Neither party shall be liable for delays caused by events beyond reasonable control, including but not limited to natural disasters, government sanctions, or disruptions to logistics corridors affecting the Kazakhstan Almaty region.
Governing Law: This Purchase Order shall be governed by and construed in accordance with the Civil Code of the Republic of Kazakhstan. Any disputes shall be resolved through the Almaty City Economic Court.

All orthodontic materials and equipment listed are intended exclusively for clinical use in the treatment of patients within the Kazakhstan Almaty jurisdiction.
