- Acceptance: This Purchase Order constitutes a binding offer. The Supplier shall confirm acceptance in writing within five (5) business days of receipt. Failure to confirm within this period shall render this Purchase Order null and void.
- Delivery: All orthodontic goods specified in this Purchase Order shall be delivered to the Buyer's premises at Attorney General Road, Westlands, Kenya Nairobi, within thirty (30) calendar days from the date of confirmed acceptance. The Supplier bears all risk of loss until goods are received and inspected by the Buyer's designated Orthodontist or practice manager.
- Quality & Compliance: All products must comply with the Kenya Bureau of Standards (KEBS) regulations and the Pharmacy and Poisons Board (PPB) of Kenya. The Supplier warrants that all orthodontic materials are CE-marked or FDA-approved and suitable for use by a licensed Orthodontist in Kenya Nairobi.
- Payment: Payment of KES 3,843,500.00 (Three Million Eight Hundred Forty-Three Thousand Five Hundred Kenyan Shillings) shall be made within thirty (30) days of the Buyer's receipt of a valid tax invoice and satisfactory delivery inspection. Payment shall be made via bank transfer to the Supplier's designated account in Kenya Nairobi.
- Warranty: The digital intraoral scanner (Item 7) carries a minimum two-year manufacturer's warranty. All consumable orthodontic items carry a twelve-month defect warranty. The Supplier shall replace any defective Orthodontist-grade product at no additional cost to the Buyer.
- Warranty & Returns: The Buyer reserves the right to reject any goods that do not conform to the specifications outlined in this Purchase Order. Rejected items must be returned to the Supplier within fourteen (14) days at the Supplier's expense.
- Intellectual Property: The CBCT imaging software licence (Item 9) is granted solely for use at the Buyer's Kenya Nairobi clinic. No sub-licensing or transfer is permitted without written consent from the software vendor.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Republic of Kenya. Any disputes arising from this Purchase Order shall be resolved through arbitration in Kenya Nairobi under the rules of the Chartered Institute of Arbitrators (Kenya Branch).
- Tax Compliance: All applicable Value Added Tax (VAT) at 16% and any withholding tax as prescribed by the Kenya Revenue Authority (KRA) shall be reflected in the final invoice. The Supplier shall provide a valid KRA-compliant tax invoice upon delivery.
- Confidentiality: Both parties agree to maintain confidentiality regarding the terms of this Purchase Order and any patient-related orthodontic data that may be processed through the supplied equipment in Kenya Nairobi.
