TERMS AND CONDITIONS

General Terms – Purchase Order PO-2025-0847

Delivery: All items listed in this Purchase Order shall be delivered to the Orthodontist practice premises at 124, Boulevard Mohammed V, Casablanca, Morocco, no later than 30 June 2025. The supplier is responsible for all logistics within the Casablanca metropolitan area.
Payment Terms: Payment shall be made within 30 days of receipt of a valid tax invoice (facture) conforming to the Moroccan Directorate General of Taxation (DGI) requirements. Payment will be processed via bank transfer to the supplier's designated account in Moroccan Dirhams (MAD).
Quality Assurance: All orthodontic materials and equipment must comply with the Moroccan Ministry of Health regulations and carry valid CE or equivalent certification. The Orthodontist practice reserves the right to reject any item that does not meet the specified standards.
Warranty: The intraoral digital scanner and CBCT software license carry a minimum 24-month manufacturer warranty. All consumable orthodontic supplies must be within their stated shelf life at the time of delivery in Casablanca.
Regulatory Compliance: This Purchase Order is governed by the laws of the Kingdom of Morocco. Any disputes shall be resolved through the competent commercial courts of Casablanca. The transaction is subject to Moroccan commercial code provisions regarding B2B procurement.
Installation & Training: The supplier shall provide on-site installation of the intraoral scanner and CBCT software at the Orthodontist clinic in Casablanca, including a minimum of 8 hours of hands-on training for the clinical team.
Penalties: Late delivery beyond the agreed date shall incur a penalty of 0.5% of the total Purchase Order value per calendar day, capped at 10% of the total value.
Confidentiality: Both parties agree to maintain confidentiality regarding pricing, patient data, and proprietary orthodontic treatment protocols associated with this Purchase Order.
