- Payment Terms: Payment shall be made within 30 days of the date of this Purchase Order via bank transfer to the vendor's designated account at KBZ Bank, Myanmar Yangon branch. The orthodontist practice reserves the right to withhold payment until all items listed in this Purchase Order have been inspected and confirmed to meet the specifications stated above.
- Delivery: All items must be delivered to the orthodontist practice premises at 125 Strand Road, Sanchaung Township, Myanmar Yangon, no later than 30 June 2025. Delivery shall be made between 09:00 and 16:00 Myanmar Standard Time (MST, UTC+6:30). The vendor is responsible for all shipping, insurance, and handling costs within Myanmar Yangon.
- Quality Assurance: All orthodontic materials and equipment supplied under this Purchase Order must comply with the Myanmar Food and Drug Authority (MFDA) regulations and international ISO standards applicable to orthodontist clinical instruments. The orthodontist practice will conduct a full inspection upon receipt, and any defective or non-conforming items must be replaced within 7 business days at no additional cost.
- Warranty: All orthodontic instruments and equipment carry a minimum 12-month manufacturer's warranty. The digital intraoral scanner tips and CBCT software license carry the warranty terms specified by their respective manufacturers. The orthodontist practice will notify the vendor in writing of any warranty claims within the applicable period.
- Regulatory Compliance: The vendor confirms that all orthodontic products listed in this Purchase Order are legally importable and sellable within the Republic of the Union of Myanmar. All necessary import permits, MFDA registrations, and customs documentation for delivery within Myanmar Yangon shall be the sole responsibility of the vendor.
- Cancellation and Modification: This Purchase Order may be modified or cancelled in writing by either party up to 14 days prior to the required delivery date. Any cancellation after this period is subject to a 15% penalty on the value of undelivered goods. The orthodontist practice may request partial delivery if certain items are available earlier.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Republic of the Union of Myanmar. Any disputes arising from this Purchase Order related to the orthodontist practice operations in Myanmar Yangon shall be resolved through the Yangon District Court or by mutual arbitration as agreed upon by both parties.
