Terms and Conditions
- This Purchase Order constitutes a binding agreement between ClearAlign Orthodontic Centre (the "Buyer") and Pacific Dental Supplies Ltd. (the "Supplier") upon acceptance by the Supplier.
- All goods must be delivered to the Buyer's orthodontist practice located in New Zealand Auckland at the address specified above. Delivery must occur between 08:00 and 16:00 NZST on a business day.
- Payment shall be made within thirty (30) calendar days of the Supplier's invoice date via bank transfer to the account details provided on the invoice. All amounts are in New Zealand Dollars (NZD) and inclusive of applicable GST at the current rate of 15%.
- The Supplier warrants that all orthodontic products supplied are new, unused, and in full compliance with New Zealand regulatory requirements for medical and dental devices.
- Any goods found to be defective, damaged in transit, or not conforming to the specifications outlined in this Purchase Order must be reported to the Buyer within seven (7) business days of delivery. The Supplier shall replace or refund non-conforming items at no additional cost to the Buyer.
- The Supplier shall provide a Certificate of Conformity and, where applicable, a Medical Device Registration number for all orthodontic equipment and materials shipped to New Zealand Auckland.
- Intellectual property rights for the CBCT imaging software licence (Item 10) remain with the licensor. The licence is non-transferable and restricted to use solely at the Buyer's Auckland orthodontist practice.
- This Purchase Order is governed by the laws of New Zealand. Any disputes arising from this Purchase Order shall be subject to the exclusive jurisdiction of the courts of New Zealand Auckland.
- The Supplier shall maintain adequate product liability insurance for all orthodontic goods supplied under this Purchase Order, with a minimum coverage of NZD 10,000,000.
- Neither party may assign or transfer this Purchase Order without the prior written consent of the other party.
