- This Purchase Order is issued by the Orthodontist, Dr. Sarah Mitchell, operating the Wellington Orthodontic Centre in New Zealand Wellington, and constitutes a binding request for the supply of orthodontic goods and clinical materials as itemised above.
- All goods must comply with the New Zealand Medical Device Regulations 2000 and must carry valid Therapeutic Products of New Zealand (TPNZ) registration or exemption documentation prior to delivery to the Orthodontist's clinic.
- Delivery shall be made to the practice address at 88 Cuba Street, Te Aro, Wellington 6011, New Zealand Wellington, between 08:00 and 16:00 on a business day, no later than 28 June 2025. The supplier is responsible for all freight, insurance, and customs clearance (if applicable for imported orthodontic components).
- Payment of the full Purchase Order total of NZD 45,207.65 (inclusive of 15% GST) shall be made by electronic funds transfer (EFT) to the supplier's nominated bank account within thirty (30) calendar days of the date of this Purchase Order, provided all goods have been received and inspected by the Orthodontist and found to be in satisfactory condition.
- The supplier warrants that all orthodontic brackets, wires, elastics, aligner materials, and instruments listed in this Purchase Order are new, unused, and manufactured in accordance with ISO 13485 medical device quality management standards.
- In the event of defective or non-conforming orthodontic supplies, the Orthodontist reserves the right to reject the affected items and request a full replacement or credit note within fourteen (14) days of delivery. The supplier shall bear all costs associated with the return of non-conforming goods to New Zealand Wellington.
- This Purchase Order is governed by the laws of New Zealand. Any disputes arising from this Purchase Order shall be resolved in the District Court of Wellington, New Zealand Wellington, in accordance with the New Zealand Consumer Guarantees Act 1993.
- The Orthodontist practice is a registered GST entity in New Zealand. All invoices must reference this Purchase Order number (PO-WLG-2025-0487) and display the supplier's IRD number for tax compliance purposes.
- Confidentiality: The supplier acknowledges that patient treatment plans, orthodontic case records, and any clinical data shared in connection with this Purchase Order are subject to the New Zealand Privacy Act 2020 and the Health Information Privacy Code 1994.
- This Purchase Order may only be amended in writing with the mutual consent of both the Orthodontist and the supplier. Verbal modifications are not binding.
