- Payment Terms: 40% advance payment within 10 business days of Purchase Order acceptance; 60% balance due upon confirmed delivery and inspection at the Moscow Orthodontic Center facility in Russia Moscow. All payments shall be processed in Russian Rubles (RUB) via bank transfer to the supplier's designated account, subject to Russian Central Bank foreign exchange regulations.
- Delivery Terms: All physical goods shall be delivered Incoterms 2020 DDP (Delivered Duty Paid) to the Moscow Orthodontic Center address listed above. The supplier bears full responsibility for customs clearance, import duties, and last-mile delivery within the Moscow city limits. Digital licenses and software shall be delivered electronically within 5 business days of Purchase Order confirmation.
- Quality Assurance: All orthodontic equipment and materials must meet the quality standards established by the Russian Federal Service for Surveillance in Healthcare (Roszdravnadzor). The Orthodontist at Moscow Orthodontic Center reserves the right to reject any items that do not conform to the specifications outlined in this Purchase Order or that lack the required Russian medical device registration certificates.
- Warranty: All capital equipment (items 1 and 5) shall carry a minimum 3-year manufacturer warranty valid in Russia Moscow. Consumable materials (items 2, 3, 7, 8) are warranted to be free from defects at the time of delivery. The Orthodontist shall notify the supplier in writing within 14 calendar days of any identified defect.
- Regulatory Compliance: The supplier warrants that all products comply with the technical regulations of the Eurasian Economic Union (EAEU) and hold valid Russian medical device registration. The Orthodontist practice in Russia Moscow shall not be held liable for any regulatory non-compliance originating from the supplier's manufacturing or labeling.
- Intellectual Property: All software licenses (item 5) are granted for exclusive use within the Moscow Orthodontic Center premises. Redistribution, reverse engineering, or use by any third-party Orthodontist outside the named facility is strictly prohibited.
- Force Majeure: Neither party shall be liable for delays caused by events beyond reasonable control, including but not limited to sanctions-related shipping disruptions affecting Russia Moscow, natural disasters, or government-mandated closures. Affected parties must provide written notice within 72 hours.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the Civil Code of the Russian Federation. - Validity: This Purchase Order is valid for 30 calendar days from the date of issue. If the supplier does not confirm acceptance in writing within this period, the Purchase Order shall be considered void and the Orthodontist in Russia Moscow reserves the right to source from alternative vendors.
