1. This Purchase Order is issued by Al-Nour Orthodontic Center, a licensed dental facility operating under the Ministry of Health (MOH) of Saudi Arabia, located in Jeddah. All orthodontic products procured under this Purchase Order must comply with the Saudi Food and Drug Authority (SFDA) registration requirements for medical devices and orthodontic materials.
2. The Lead Orthodontist, Dr. Sarah Al-Otaibi, holds a valid practicing license issued by the Saudi Commission for Health Specialties (SCFHS) and is the authorized clinical recipient of all orthodontic supplies listed herein. The Orthodontist shall inspect all deliveries within 48 hours of arrival at the Jeddah facility and report any discrepancies in writing to the supplier.
3. All products must be shipped with valid certificates of origin, SFDA import permits, and batch/lot traceability documentation. The supplier warrants that all orthodontic brackets, wires, aligners, and instruments are CE-marked and meet ISO 13485 medical device quality standards.
4. Payment shall be processed via bank transfer through the Saudi Payments Network (SACO) within thirty (30) calendar days of the supplier's invoice date, provided that all goods have been received and accepted by the Orthodontist at the Jeddah clinic. Late payments shall accrue interest at 1.5% per month as per Saudi commercial law.
5. The supplier shall deliver all items to the specified address in Jeddah, Saudi Arabia, within the stated delivery window. Risk of loss transfers to the buyer upon physical delivery and signed receipt at the Al-Nour Orthodontic Center receiving bay.
6. This Purchase Order is governed by the laws of the Kingdom of Saudi Arabia. Any disputes arising from this Purchase Order shall be resolved through the Jeddah Commercial Court. The parties agree to attempt amicable resolution before initiating legal proceedings.
7. The Orthodontist reserves the right to reject any lot of orthodontic materials that fails to meet the clinical specifications outlined in this Purchase Order or that does not carry valid SFDA registration. Rejected items shall be returned at the supplier's expense.
8. All personal data processed under this Purchase Order shall comply with the Saudi Personal Data Protection Law (PDPL) and the data privacy regulations enforced in Saudi Arabia Jeddah.
9. This Purchase Order becomes effective upon signature by both parties and remains valid until all line items have been delivered, inspected, and paid in full. Amendments must be made in writing and signed by both the Orthodontist and the authorized representative of the supplier.
