- Scope: This Purchase Order is issued by Clínica Ortodóntica Madrid Central, a registered Orthodontist practice located in Spain Madrid, for the procurement of orthodontic equipment, instruments, and consumable supplies as itemised above. All goods must meet the clinical standards required by the treating Orthodontist and comply with the Spanish Agency of Medicines and Medical Devices (AEMPS) regulations.
- Delivery: The Seller shall deliver all items to the Orthodontist's clinic premises at Calle de Serrano, 142, 28001 Madrid, Spain, no later than 05 July 2025. Delivery shall be DDP (Delivered Duty Paid) Madrid. The Seller is responsible for all transport, insurance, and customs clearance within Spain Madrid jurisdiction.
- Quality & Compliance: All orthodontic products supplied under this Purchase Order must carry valid CE marking and conform to EU Medical Device Regulation (MDR) 2017/745. The Orthodontist reserves the right to reject any item that does not meet the specified clinical specifications or fails to comply with Spain Madrid health and safety regulations.
- Payment: Payment of the full Purchase Order amount of €49,113.00 (forty-nine thousand one hundred and thirteen euros) shall be made via bank transfer to the Seller's designated account within thirty (30) calendar days of the date of confirmed delivery and acceptance of goods by the Orthodontist. The applicable VAT rate of 21% as per Spain Madrid tax law is included in the total.
- Warranty: The Seller warrants that all equipment and supplies are new, unused, and free from defects in material and workmanship. The digital intraoral scanner (Ref. 04) carries a minimum 24-month manufacturer warranty. The Orthodontist shall notify the Seller of any defects within fifteen (15) business days of delivery.
- Intellectual Property & Software: The 3-year orthodontic software licence included with the digital scanner (Ref. 04) is granted exclusively to the named Orthodontist at the Spain Madrid clinic. Redistribution, copying, or transfer of the licence to any other practitioner or location is strictly prohibited.
- Force Majeure: Neither party shall be liable for delays caused by events beyond reasonable control, including but not limited to natural disasters, government mandates affecting Spain Madrid, or supply-chain disruptions. Affected parties must notify the other within five (5) business days.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of Spain Madrid and the Spanish Civil Code. Any disputes arising from this Purchase Order shall be subject to the exclusive jurisdiction of the courts of Madrid, Spain.
- Confidentiality: Both parties agree to maintain the confidentiality of all commercial terms, patient-related data, and clinical protocols shared in connection with this Purchase Order, in compliance with the Spanish Organic Law 3/2018 on Personal Data Protection (LOPDGDD) and the EU GDPR.
- Amendments: No modification to this Purchase Order shall be valid unless made in writing and signed by both the Orthodontist (or authorised representative) and the Seller. Verbal agreements regarding scope, pricing, or delivery are not binding.
