- Payment Terms: Payment shall be made in two installments. Fifty percent (50%) of the total Purchase Order value shall be paid upon confirmation of order acceptance. The remaining fifty percent (50%) shall be paid within fourteen (14) calendar days of successful delivery and inspection of all orthodontic goods at the Orthodontist's clinic in Sudan Khartoum.
- Delivery: The supplier shall deliver all items to Al-Nil Orthodontic Center, 42 El-Mahdi Street, Omdurman District, Sudan Khartoum, no later than 30 July 2025. Delivery shall be made between 08:00 and 16:00 local time. The supplier bears all risk of loss or damage until goods are received and signed for by the Orthodontist or his designated representative.
- Quality Assurance: All orthodontic products must comply with international medical device standards (ISO 13485) and must be registered with the Sudanese National Food and Drug Authority. The Orthodontist reserves the right to reject any item that does not meet the specifications stated in this Purchase Order.
- Warranty: All equipment (including the digital panoramic X-ray machine and intraoral cameras) shall carry a minimum two-year manufacturer's warranty. Consumable orthodontic materials shall be free from defects at the time of delivery. The supplier shall replace any defective items within ten (10) business days at no additional cost.
- Warranty & After-Sales Support: The supplier shall provide technical support and training for the operation of the digital panoramic X-ray machine and intraoral cameras. A minimum of two (2) on-site training sessions for the Orthodontist's clinical staff in Sudan Khartoum shall be conducted within thirty (30) days of delivery.
- Force Majeure: Neither party shall be liable for delays caused by events beyond reasonable control, including but not limited to natural disasters, government sanctions, or port closures affecting the Republic of Sudan. However, the affected party must notify the other within five (5) business days.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Republic of Sudan. Any disputes arising from this Purchase Order shall be resolved through arbitration in Sudan Khartoum in accordance with the Sudanese Arbitration Act.
- Confidentiality: Both parties agree to maintain confidentiality regarding the terms of this Purchase Order and any patient-related information that may be shared during the procurement process for the Orthodontist's practice in Sudan Khartoum.
