1. Acceptance: This Purchase Order constitutes a binding offer to purchase the orthodontic goods and services described herein. Acceptance is confirmed by the supplier's written acknowledgment or by shipment of the goods to the delivery address in Switzerland Zurich.
2. Quality Assurance: All orthodontic products must meet the quality standards established by the Swiss Society of Orthodontics (SSO) and comply with ISO 13485 medical device manufacturing standards. The Orthodontist reserves the right to inspect and reject any items that do not conform to the specifications stated in this Purchase Order.
3. Delivery: The supplier shall deliver all items to the practice location in Switzerland Zurich by the required delivery date. Late delivery beyond five (5) business days entitles the Orthodontist practice to cancel the affected line items without penalty.
4. Payment: Payment shall be made in Swiss Francs (CHF) via bank transfer to the supplier's designated account within thirty (30) calendar days of receipt of a correct invoice. The practice is not liable for interest on undisputed amounts within the payment period.
5. Warranties: The supplier warrants that all orthodontic equipment and consumables are new, unused, and free from defects in material and workmanship. A minimum warranty period of two (2) years applies to all capital equipment items (Ref 06 and 09).
6. Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Swiss Confederation. Any disputes arising from this document shall be subject to the exclusive jurisdiction of the courts of Zurich, Switzerland.
7. Data Protection: Both parties agree to comply with the Swiss Federal Act on Data Protection (FADP/DSG) in the handling of any personal data exchanged in connection with this Purchase Order.
