3. Delivery and Installation Terms
All items listed in this Purchase Order shall be delivered to the Al Noor Orthodontic Centre premises located on Al Maryah Island, Abu Dhabi, United Arab Emirates. The supplier, DentalPro Middle East FZE, shall ensure that all orthodontic equipment and consumables are delivered within twenty (20) business days from the date of this Purchase Order. The digital intraoral scanner (Item 04) and CBCT software (Item 09) shall be installed, calibrated, and made fully operational by certified technicians at the Orthodontist practice within five (5) business days of physical delivery. All goods must comply with the regulatory standards set by the Department of Health – Abu Dhabi (DoH-AD) and the Emirates Authority for Standardization and Metrology (ESMA).
4. Payment Terms
Payment for this Purchase Order shall be made in United Arab Emirates Dirhams (AED) via bank transfer to the supplier's designated account. The payment schedule is as follows: fifty percent (50%) of the grand total, amounting to AED 175,914.75, shall be due upon signing and acceptance of this Purchase Order. The remaining fifty percent (50%), amounting to AED 175,914.75, shall be due within thirty (30) days of confirmed delivery, installation, and successful commissioning of all orthodontic equipment at the practice in Abu Dhabi. Late payments shall attract a penalty of two percent (2%) per month on the outstanding balance, in accordance with the commercial laws of the United Arab Emirates.
5. Terms and Conditions
- This Purchase Order is governed by the laws of the United Arab Emirates and, specifically, the commercial regulations applicable in Abu Dhabi. Any disputes arising from this Purchase Order shall be subject to the exclusive jurisdiction of the courts of Abu Dhabi, United Arab Emirates.
- All orthodontic products supplied under this Purchase Order must carry valid CE marking and, where applicable, FDA clearance. The supplier warrants that all items are new, unused, and free from defects in material and workmanship for a minimum period of twenty-four (24) months from the date of delivery.
- The Orthodontist practice reserves the right to inspect all delivered goods within seven (7) business days of receipt. Any items found to be damaged, incorrect, or non-conforming to the specifications outlined in this Purchase Order shall be replaced at the supplier's sole cost within ten (10) business days.
- The supplier shall provide a comprehensive training session for the clinical and administrative staff of the Orthodontist practice on the operation and maintenance of the digital intraoral scanner and CBCT imaging software. Training shall be conducted in English and, if requested, in Arabic, at the practice location in Abu Dhabi.
- All intellectual property rights associated with the CBCT imaging software license (Item 09) remain with the licensor. The Orthodontist practice is granted a non-transferable, single-user license valid for one (1) year, renewable upon mutual written agreement.
- The supplier shall maintain full product liability insurance covering all orthodontic equipment and consumables delivered under this Purchase Order, with a minimum coverage of AED 5,000,000, valid throughout the United Arab Emirates.
- Neither party shall be liable for delays or non-performance caused by force majeure events, including but not limited to natural disasters, government sanctions, or public health emergencies declared by the authorities of the United Arab Emirates Abu Dhabi.
- This Purchase Order constitutes the entire agreement between the parties with respect to the subject matter herein and supersedes all prior negotiations, representations, or agreements, whether written or oral.
- Any amendments or modifications to this Purchase Order must be made in writing and signed by authorized representatives of both parties to be valid and enforceable.
6. Authorisation and Acceptance
By signing below, both parties acknowledge and agree to all terms, conditions, and specifications set forth in this Purchase Order for the procurement of orthodontic equipment and supplies for the Orthodontist practice in United Arab Emirates Abu Dhabi.
