All goods and services under this Purchase Order shall be delivered and rendered at the following location in Birmingham, United Kingdom:
Midlands Orthodontic Excellence Ltd. – Primary Clinic
Unit 12, Grand Central Business Park, New Street, Birmingham, B2 4QA, United Kingdom
Secondary delivery points for patient-facing services shall include the satellite Orthodontist clinic at 45 Edgbaston High Street, Birmingham, B15 2TN, United Kingdom. All deliveries of physical goods (appliances, materials, printed packages) must be made to the primary Birmingham address unless otherwise specified in writing by the authorised purchaser.
- This Purchase Order is issued in accordance with the Public Contracts Regulations 2015 (as amended) and the NHS Procurement Framework for Dental and Orthodontic Services in the United Kingdom.
- The Orthodontist and all associated clinical staff providing services under this Purchase Order must hold valid registration with the General Dental Council (GDC) of the United Kingdom and maintain appropriate professional indemnity insurance with a minimum cover of £5,000,000 per claim.
- All orthodontic appliances and materials supplied must comply with the UK Medical Devices Regulations 2002 and carry valid CE or UKCA marking. The Orthodontist practice shall provide certificates of conformity upon request.
- Payment shall be made by BACS transfer to the supplier's nominated bank account within Birmingham, United Kingdom, within thirty (30) calendar days of receipt of a valid tax invoice referencing this Purchase Order number (PO-BHM-2025-04872).
- The supplier (Orthodontist practice) shall maintain a minimum patient satisfaction score of 90% as measured by quarterly NHS patient feedback surveys conducted in the Birmingham area. Failure to meet this threshold for two consecutive quarters shall constitute a material breach of this Purchase Order.
- All patient data processed under this Purchase Order must comply with the UK General Data Protection Regulation (UK GDPR) and the Data Protection Act 2018. The Orthodontist practice shall act as a data processor and shall not transfer patient records outside the United Kingdom without prior written consent from Birmingham Metropolitan Health Trust.
- This Purchase Order may be varied only by written amendment signed by both parties. No verbal or email instructions shall constitute a valid variation to the scope, pricing, or delivery schedule.
- In the event of non-delivery or substandard service, the buyer reserves the right to withhold payment, terminate this Purchase Order with fourteen (14) days' written notice, and seek alternative Orthodontist providers within the Birmingham, United Kingdom region.
- This Purchase Order is governed by and shall be construed in accordance with the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of Birmingham, United Kingdom.
