3. Delivery shall be made to the Buyer's premises at Unit 14, Deansgate Square, Manchester, M3 4LQ, United Kingdom, no later than 26 June 2025. Late delivery beyond five (5) working days entitles the Buyer to cancel this Purchase Order without penalty.
4. Payment shall be made by BACS transfer within thirty (30) calendar days of receipt of a valid tax invoice from the Supplier, in accordance with the payment terms stated in this Purchase Order.
5. All items are subject to inspection upon delivery. Any damaged, defective, or non-conforming orthodontic materials must be reported to the Buyer's procurement team within seven (7) working days of receipt. The Supplier shall replace or refund non-conforming goods at no additional cost to the Buyer.
6. The digital intraoral scanner (Line 9) shall be delivered with full installation, calibration, and a two-hour on-site training session for the Orthodontist and clinical support staff at the Manchester, United Kingdom practice. A 24-month manufacturer's warranty is included.
7. Intellectual property and software licences associated with the digital scanner are non-transferable and remain the property of the manufacturer. The Buyer is granted a single-user licence for use within the Manchester practice only.
8. This Purchase Order is governed by the laws of England and Wales. Any disputes arising from this order shall be subject to the exclusive jurisdiction of the courts of Manchester, United Kingdom.
9. The Supplier shall maintain adequate product liability insurance (minimum £10,000,000) for the duration of this Purchase Order and for a period of two years following final delivery.
10. Confidentiality: Both parties agree to treat all commercial terms, pricing, and patient-related data associated with this Purchase Order as strictly confidential and shall not disclose such information to third parties without prior written consent.
