TERMS AND CONDITIONS- This Purchase Order is issued by Tashkent Orthodontic Center LLP, a licensed orthodontic practice operating in Uzbekistan Tashkent, and constitutes a binding offer to purchase the orthodontic goods and equipment listed above from the named supplier.
- All items shall be delivered to the buyer's facility at 142 Amir Temur Avenue, Tashkent, Uzbekistan, no later than 05 July 2025. The Orthodontist practice requires all orthodontic brackets, wires, and instruments to arrive in full compliance with the Uzbekistan State Sanitary-Epidemiological Service (SSS) registration requirements.
- Payment shall be made within thirty (30) calendar days from the date of confirmed delivery and acceptance of goods at the Uzbekistan Tashkent premises. Payment shall be remitted via international wire transfer to the supplier's designated bank account in EUR or USD.
- The supplier warrants that all orthodontic products are new, unused, manufactured in accordance with ISO 13485 medical device quality standards, and carry valid CE marking. The Orthodontist buyer reserves the right to reject any lot that fails to meet the specifications stated in this Purchase Order.
- Customs clearance, import duties, and applicable taxes within Uzbekistan Tashkent shall be the responsibility of the buyer unless otherwise stated under the DDP Incoterm. The supplier shall provide all necessary commercial invoices, packing lists, certificates of origin, and medical device conformity documents to facilitate customs processing at Tashkent International Airport or the Tashkent Dry Port.
- In the event of partial shipment, the supplier must notify the Orthodontist buyer in writing at least five (5) business days prior to dispatch. Any delay beyond the agreed delivery date shall incur a penalty of 0.5% of the delayed item value per calendar day, capped at 10% of the total Purchase Order value.
- All orthodontic consumables (brackets, wires, elastics, bonding materials) must carry a minimum shelf life of twenty-four (24) months from the date of manufacture. The Orthodontist practice in Uzbekistan Tashkent will conduct incoming quality inspection within three (3) business days of receipt.
- This Purchase Order shall be governed by and construed in accordance with the laws of the Republic of Uzbekistan. Any disputes arising from this agreement shall be resolved through arbitration at the International Arbitration Center under the Chamber of Commerce and Industry of Uzbekistan, seated in Tashkent.
- The supplier acknowledges that the goods are intended for clinical use by a registered Orthodontist and associated dental professionals at a licensed medical facility in Uzbekistan Tashkent. The supplier shall not resell or divert any portion of this order to third parties without written consent from the buyer.
- This Purchase Order becomes effective upon signature by both parties and remains valid until 15 July 2025, after which it shall be automatically void unless renewed in writing.
