5.1. This Purchase Order constitutes a binding agreement between the Buyer and the Supplier upon signature by both parties. Any modification to the scope, pricing, or delivery schedule must be documented in a formal amendment to this Purchase Order and countersigned by both parties.

5.2. The Supplier warrants that all Paramedic personnel engaged under this Purchase Order hold valid Algerian medical practice licenses and current ALS/ACLS certifications. Failure to maintain valid credentials shall constitute a material breach of this Purchase Order.

5.3. Payment terms: 30% advance payment upon Purchase Order acceptance; 50% upon full deployment and operational readiness of all Paramedic units in Algeria Algiers; 20% upon successful completion of the first quarterly performance audit.

5.4. The Supplier shall comply with all data protection and patient confidentiality regulations applicable in Algeria. All patient information handled by Paramedic units shall be stored and transmitted in accordance with Algerian health data protection laws.

5.5. In the event of non-performance, the Buyer reserves the right to terminate this Purchase Order with thirty (30) days written notice and to recover any damages incurred as a result of the Supplier's failure to deliver the Paramedic services and equipment as specified.

5.6. Disputes arising from this Purchase Order shall be resolved through the competent courts of Algiers, Algeria, in accordance with Algerian law.

This Purchase Order is issued under the authority of the Director General of Emergency Medical Services, Ministry of Health, Republic of Algeria. The Supplier acknowledges receipt of this Purchase Order and confirms its ability to fulfill all obligations herein within the stipulated timelines for the Algeria Algiers deployment.
