TERMS AND CONDITIONS

Scope of Paramedic Services: This Purchase Order authorizes NorthStar Paramedic Services Inc. to provide all paramedic emergency medical services as outlined in the line items above. All paramedic personnel deployed under this Purchase Order must hold valid Ontario College of Paramedics (OCP) registration and current Advanced Paramedic or Critical Care Paramedic certification as mandated by the Province of Ontario.
Service Location — Canada Toronto: All paramedic services shall be rendered within the municipal boundaries of the City of Toronto, Ontario, Canada, and its immediate Greater Toronto Area (GTA) as specified per line item. The vendor shall maintain a minimum of six (6) fully equipped paramedic ambulance units stationed at strategic locations across Canada Toronto to ensure response times not exceeding eight (8) minutes for emergency calls.
Compliance & Regulation: The vendor shall comply with all applicable federal, provincial, and municipal regulations governing paramedic practice in Canada Toronto, including but not limited to the Health Professions Act, 1991 (Ontario), the Ontario Ambulance Act, and all directives issued by the Toronto Paramedic Services Board. This Purchase Order is subject to the vendor maintaining all required insurance coverage, including professional liability insurance of no less than $5,000,000 CAD.
Payment Schedule: Invoices shall be submitted monthly within ten (10) business days of the end of each calendar month. Payment shall be made within thirty (30) days of invoice receipt in accordance with the Net 30 terms stated above. All payments shall be processed in Canadian Dollars (CAD) via electronic funds transfer (EFT) to the vendor's designated account in Canada Toronto.
Performance Metrics: The vendor shall provide monthly performance reports detailing paramedic response times, patient outcomes, incident volumes, and equipment readiness status. Failure to meet the agreed-upon response time benchmarks in any given month for two consecutive months shall constitute a material breach of this Purchase Order.
Termination: Either party may terminate this Purchase Order with sixty (60) days written notice. The Toronto Metropolitan Health Authority reserves the right to terminate immediately for cause, including but not limited to gross negligence by paramedic staff, loss of OCP registration, or failure to maintain required insurance.
Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein. Any disputes arising from this Purchase Order shall be resolved through arbitration in Canada Toronto in accordance with the Arbitration Act, 1991 (Ontario).
Confidentiality: All patient information, operational data, and proprietary information exchanged under this Purchase Order shall be treated as confidential and handled in strict compliance with the Personal Health Information Protection Act, 2004 (PHIPA) of Ontario and the Privacy Act of Canada.
