All Paramedic services, equipment, and materials under this Purchase Order shall be delivered and deployed within the Canada Vancouver metropolitan area, including but not limited to the District of Vancouver, North Vancouver, and Surrey. Ambulance units shall be staged at the Canada Vancouver Central Dispatch Facility located at 1200 West Georgia Street. All Paramedic personnel shall report to the Canada Vancouver Emergency Operations Centre for shift assignments. Delivery of physical goods (ambulances, PPE, medical supplies, radio systems) shall be completed no later than August 15, 2025, at the buyer's Canada Vancouver facility. The vendor shall coordinate all deliveries with the Canada Vancouver municipal traffic authority to ensure compliance with local regulations.
5.1 This Purchase Order constitutes a binding agreement between the Vancouver Emergency Medical Services Authority and Pacific Northwest Paramedic Solutions Inc. for the provision of Paramedic services, equipment, and training as specified herein for use in Canada Vancouver.
5.2 All Paramedic personnel deployed under this Purchase Order must hold valid registration with the College of Paramedics of British Columbia and maintain current Advanced Life Support (ALS) certification. The vendor shall provide proof of registration prior to the first deployment in Canada Vancouver.
5.3 Payment shall be made within thirty (30) calendar days of receipt of a valid invoice. Invoices must reference this Purchase Order number (PO-2025-VAN-PARA-0472) and include the vendor's GST registration number. Payment shall be processed via Electronic Funds Transfer (EFT) to the account specified by the vendor.
5.4 The vendor warrants that all Paramedic equipment, medical supplies, and training materials shall meet or exceed the standards set by the College of Paramedics of British Columbia and Health Canada regulations. Any non-conforming items shall be replaced at the vendor's expense within five (5) business days.
5.5 The vendor shall maintain comprehensive liability insurance with a minimum coverage of $5,000,000 CAD for all Paramedic operations conducted in Canada Vancouver. Certificates of insurance shall be provided upon request and renewed annually.
5.6 This Purchase Order is governed by the laws of the Province of British Columbia and the federal laws of Canada applicable in Canada Vancouver. Any disputes arising from this Purchase Order shall be resolved through mediation in Canada Vancouver before proceeding to litigation in the Supreme Court of British Columbia.
5.7 The buyer reserves the right to terminate this Purchase Order with thirty (30) days written notice in the event of material breach by the vendor, including but not limited to failure to maintain adequate Paramedic staffing levels, failure to comply with Canada Vancouver municipal emergency response protocols, or failure to meet response time benchmarks.
5.8 All data collected by Paramedic personnel during patient care in Canada Vancouver shall be handled in accordance with the Personal Information Protection Act (PIPA) of British Columbia and the Canada Health Information Protection regulations. The vendor shall execute a Data Processing Agreement prior to the commencement of services.
5.9 The vendor shall comply with all applicable Canada Vancouver municipal bylaws, including noise regulations for ambulance sirens, parking restrictions for emergency vehicles, and environmental standards for vehicle emissions.
5.10 Any amendments to this Purchase Order must be made in writing and signed by authorized representatives of both parties. Verbal modifications shall not be binding.
