Terms and Conditions of This Purchase Order

  1. This Purchase Order is issued by the Guangzhou Municipal Emergency Medical Center for the procurement of paramedic equipment, vehicles, and associated services to be deployed across all administrative districts of China Guangzhou. The supplier acknowledges and accepts all terms herein.
  2. All paramedic equipment listed in this Purchase Order must comply with the National Medical Products Administration (NMPA) of China and the specific operational standards set by the China Guangzhou Municipal Health Commission for emergency medical response units.
  3. Delivery of all items under this Purchase Order shall be completed no later than 01 August 2025 at the designated receiving facility in China Guangzhou. Late delivery shall incur a penalty of 0.5% of the total Purchase Order value per calendar day of delay, capped at 10%.
  4. The supplier shall provide a minimum 36-month warranty on all paramedic equipment, including ambulances, patient monitors, and AEDs. The paramedic training program warranty includes one complimentary refresher session within the first 12 months.
  5. Payment shall be processed via bank transfer to the supplier's designated account in China Guangzhou within 45 calendar days of receipt of a valid tax invoice. The supplier must provide a VAT special invoice (fapiao) for all transactions under this Purchase Order.
  6. All paramedic personnel operating the equipment procured under this Purchase Order must hold a valid Chinese Paramedic Practicing Certificate issued by the Guangdong Provincial Health Department. The supplier's training program (Item 5) is designed to maintain and upgrade these certifications.
  7. This Purchase Order is governed by the laws of the People's Republic of China. Any disputes arising from this Purchase Order shall be resolved through arbitration at the China Guangzhou Arbitration Commission in accordance with its rules of procedure.
  8. The supplier shall maintain full insurance coverage for all paramedic vehicles and equipment during the delivery and installation phase within China Guangzhou. Proof of insurance must be submitted prior to the commencement of delivery.
  9. Any modifications, amendments, or cancellations to this Purchase Order must be made in writing and signed by both parties. Verbal agreements regarding paramedic service scope or equipment specifications are not binding.
  10. The supplier warrants that all paramedic equipment is new, unused, and free from defects. Any equipment found to be non-conforming within 30 days of delivery in China Guangzhou shall be replaced at the supplier's sole expense.
