2. Purpose and Scope of This Purchase OrderThis Purchase Order is issued by the Addis Ababa Regional Health Bureau to formally authorize the procurement of Paramedic emergency medical services, associated equipment, and ongoing operational support for deployment across the Ethiopia Addis Ababa metropolitan area. The Paramedic services procured under this Purchase Order are intended to strengthen the pre-hospital emergency response infrastructure serving the approximately 5.2 million residents of Ethiopia Addis Ababa. The scope encompasses the provision of certified Paramedic personnel, fully equipped ambulance units, medical supplies, and a 24/7 dispatch coordination system tailored to the geographic and demographic needs of Ethiopia Addis Ababa.

All Paramedic personnel and equipment specified in this Purchase Order shall be delivered and made operational within Ethiopia Addis Ababa no later than 30 days from the date of acceptance of this Purchase Order. The supplier, MedResponse Africa Paramedic Services Ltd., is responsible for transporting all ambulance units and medical equipment to the designated Addis Ababa Regional Health Bureau facilities located in Bole, Kirkos, and Arada sub-cities. Each Paramedic assigned under this Purchase Order must complete a site orientation specific to the Ethiopia Addis Ababa emergency response network before commencing active duty.
5. Payment TermsPayment for this Purchase Order shall be made in three installments: (a) 30% advance payment upon signed acceptance of this Purchase Order; (b) 50% upon verified delivery and operational readiness of all Paramedic units and equipment in Ethiopia Addis Ababa; and (c) 20% upon successful completion of the first full quarter of service. All payments shall be processed in Ethiopian Birr (ETB) via bank transfer to the supplier's designated account. Late payments beyond 15 business days shall incur an interest charge of 1.5% per month as stipulated under Ethiopian commercial law.
6. Terms and Conditions6.1 This Purchase Order is governed by the laws of the Federal Democratic Republic of Ethiopia and the applicable procurement regulations of the Addis Ababa City Administration.
6.2 The supplier warrants that every Paramedic deployed under this Purchase Order holds a current, valid license issued by the Ethiopian Ministry of Health and maintains professional liability insurance with a minimum coverage of ETB 5,000,000 per incident.
6.3 The supplier shall maintain a minimum response time of 12 minutes for any Paramedic unit dispatched to any location within the Ethiopia Addis Ababa city boundary, measured from the time of the emergency call to the arrival of the Paramedic team at the scene.
6.4 All equipment and ambulance units procured under this Purchase Order shall carry a minimum 24-month manufacturer warranty and shall be serviced at the supplier's expense during the contract period.
6.5 The Addis Ababa Regional Health Bureau reserves the right to audit the Paramedic service records, dispatch logs, and patient outcome data on a monthly basis to ensure compliance with the standards outlined in this Purchase Order.
6.6 Any modification, amendment, or cancellation of this Purchase Order must be executed in writing and signed by authorized representatives of both parties. Verbal agreements regarding the Paramedic service scope in Ethiopia Addis Ababa shall not be binding.
6.7 In the event of a force majeure event (including but not limited to natural disasters, civil unrest, or government-mandated service suspensions) affecting operations in Ethiopia Addis Ababa, either party may suspend obligations under this Purchase Order with 72 hours written notice.
7. Acceptance and AuthorizationBy signing below, both parties acknowledge and agree to all terms, conditions, and specifications set forth in this Purchase Order for the procurement of Paramedic emergency services in Ethiopia Addis Ababa. This document constitutes a binding commercial agreement effective from the date of the last signature.
