4.1 Commencement and Duration: The Paramedic services described in this Purchase Order shall commence on 1 July 2025 and remain in effect for a period of twelve (12) months, subject to renewal by mutual written agreement between the parties. All Paramedic personnel must be fully deployed and operational within the France Marseille service area no later than the commencement date.
4.2 Payment Terms: Invoicing for Paramedic services shall be submitted monthly by the 5th business day of the following month. Payment shall be made within thirty (30) days of receipt of a valid invoice via bank transfer to the account designated by the Service Provider. Late payments shall incur interest at the rate prescribed by French commercial law (Code de commerce, Article L441-10).
4.3 Regulatory Compliance: The Service Provider warrants that all Paramedic personnel engaged under this Purchase Order shall maintain valid professional licenses, current CPR and ACLS certifications, and full compliance with the French data protection regulations (RGPD / GDPR) regarding patient medical records generated during Paramedic interventions in France Marseille.
4.4 Performance Standards: The Paramedic response time for all emergency calls within the France Marseille metropolitan zone shall not exceed eight (8) minutes from dispatch to on-scene arrival for Zone A and ten (10) minutes for Zone B. Failure to meet these benchmarks for three consecutive months shall constitute a material breach of this Purchase Order, entitling the Purchasing Entity to withhold 15% of the monthly Paramedic service fee until corrective action is verified.
4.5 Cancellation and Termination: Either party may terminate this Purchase Order with sixty (60) days written notice. In the event of termination, all Paramedic personnel shall be transitioned out of the France Marseille operational zone in an orderly manner to ensure continuity of emergency medical coverage. No cancellation fee shall apply if termination is initiated by the Purchasing Entity due to regulatory non-compliance by the Service Provider.
4.6 Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the French Republic. Any disputes arising from the interpretation or execution of this Purchase Order relating to Paramedic services in France Marseille shall be submitted to the exclusive jurisdiction of the Tribunal de Commerce de Marseille.
4.7 Insurance: The Service Provider shall maintain, at its own expense, professional liability insurance covering all Paramedic personnel with a minimum coverage of €5,000,000 per incident, valid throughout the France Marseille operational territory for the full duration of this Purchase Order.
