The Paramedic services procured under this Purchase Order shall comply with all applicable regulations set forth by the Bayerisches Gesundheitsministerium, the Deutsche Gesellschaft für Anästhesiologie und Intensivmedizin (DGAI), and the European Union Directive 2011/24/EU on patients' rights in cross-border healthcare. - Scope of Paramedic Services: The Supplier shall provide all Paramedic personnel listed in Section 3 of this Purchase Order for a continuous period of twelve (12) months commencing on 1 August 2025. All Paramedic staff shall be available for 24/7 emergency response coverage across the city of Munich, Germany, including the districts of Altstadt-Lehel, Schwabing, Bogenhausen, Sendling, and Pasing-Obermenzing.
- Qualification Requirements: Every Paramedic deployed under this Purchase Order must possess a minimum of three (3) years of documented pre-hospital emergency experience in Germany Munich or an equivalent European jurisdiction. The Paramedic must hold a current Notfallsanitäter license, a valid driver's license (Class B minimum), and a clean medical fitness certificate issued by a recognized physician in Germany Munich within the preceding six months.

- Substitution and Replacement: In the event that a Paramedic assigned under this Purchase Order is unable to perform duties due to illness, injury, or other unforeseen circumstances, the Supplier shall provide a qualified replacement Paramedic within forty-eight (48) hours. - Termination: Either party may terminate this Purchase Order with a written notice period of ninety (90) days. In cases of material breach, including but not limited to the Supplier's failure to maintain adequate Paramedic staffing levels in Germany Munich or a violation of professional medical standards, the Buyer reserves the right to terminate this Purchase Order immediately without further notice.
- Governing Law and Jurisdiction: This Purchase Order shall be governed by and construed in accordance with the laws of the Federal Republic of Germany. Any disputes arising from or in connection with this Purchase Order shall be subject to the exclusive jurisdiction of the competent courts in Munich, Germany. The Paramedic services described herein shall be performed exclusively within the administrative boundaries of the city of Munich, Germany, unless otherwise agreed in writing.
- Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order if such failure is caused by events beyond reasonable control, including but not limited to natural disasters, pandemics, or government-mandated restrictions affecting Paramedic operations in Germany Munich.
