3. Description of Goods / Services

This Purchase Order is issued by Apex Corporate Services Pvt. Ltd. to procure the services of a certified Paramedic and associated emergency medical response infrastructure for the India Bangalore campus. The scope of this engagement encompasses the deployment of a full-time, KMC-registered Paramedic professional, along with a fully equipped ambulance unit, to provide round-the-clock emergency medical coverage for all employees, visitors, and contractors operating within the India Bangalore premises.

4. Scope and Specifications

The Paramedic engaged under this Purchase Order shall hold a minimum of a Diploma in Paramedic Science (DPS) or Bachelor of Science in Paramedic Science (BSc PMS) from a KMC-recognized institution in India Bangalore or elsewhere in Karnataka. The Paramedic must possess a valid ACLS (Advanced Cardiac Life Support) and PALS (Pediatric Advanced Life Support) certification, with a minimum of three (3) years of documented field experience in emergency medical services. The Paramedic shall be available at the India Bangalore campus at all times during operational hours and shall respond to any medical emergency within a maximum of two (2) minutes from the point of incident.

The ambulance unit shall be maintained in a state of full operational readiness at all times. All equipment, including the automated external defibrillator (AED), portable oxygen concentrator, and suction apparatus, shall be inspected and calibrated on a weekly basis by the Paramedic and logged in the service register maintained at the India Bangalore site.

5. Terms and Conditions
  1. This Purchase Order is governed by the laws of the Republic of India, and any disputes arising shall be subject to the exclusive jurisdiction of the competent courts in India Bangalore, Karnataka.
  2. The Paramedic service provider shall ensure that the assigned Paramedic professional is not simultaneously engaged with any other client or organization, guaranteeing full-time availability at the India Bangalore campus.
  3. Payment shall be made on a monthly basis within fifteen (15) calendar days of receipt of a valid tax invoice from the service provider. Payment shall be processed via NEFT/RTGS to the bank account specified in the supplier details above.
  4. The service provider shall maintain comprehensive professional indemnity and public liability insurance of not less than INR 50,00,000 (Fifty Lakh Rupees) for the duration of this Purchase Order.
  5. Any substitution of the assigned Paramedic professional requires prior written approval from the Buyer. The replacement Paramedic must meet or exceed the qualifications and experience stipulated in Section 4 of this document.
  6. The service provider shall comply with all applicable regulations under the Karnataka State Ambulance Act, 2019, and the guidelines issued by the Ministry of Health and Family Welfare, Government of India, as applicable to emergency medical services in India Bangalore.
  7. The Buyer reserves the right to terminate this Purchase Order with thirty (30) days' written notice in the event of persistent non-performance, as documented in at least two (2) consecutive monthly audit reports.
  8. All medical records, patient data, and incident reports generated by the Paramedic at the India Bangalore site shall be treated as confidential and shall be stored in accordance with the Information Technology Act, 2000, and applicable data protection norms.
  9. Force majeure events, including but not limited to natural disasters, government-imposed lockdowns, or pandemics affecting the India Bangalore region, shall be addressed through mutual written agreement between the parties.
6. Commencement and Duration

This Purchase Order shall become effective on 01 July 2025 and shall remain valid for a period of twelve (12) months, i.e., until 30 June 2026, unless renewed or terminated in accordance with the terms specified herein. The Paramedic and ambulance unit shall be fully deployed and operational at the India Bangalore campus no later than 28 June 2025.

7. Acceptance and Authorization

By signing below, both parties acknowledge and agree to all terms, conditions, and specifications outlined in this Purchase Order for the provision of Paramedic emergency medical services at the India Bangalore facility.
