This Purchase Order authorizes the procurement of comprehensive Paramedic emergency medical services to be rendered exclusively within the geographical boundaries of India Mumbai, including the Mumbai Metropolitan Region (MMR). The Paramedic team shall be responsible for pre-hospital emergency care, critical patient transport, disaster response, and on-site medical assistance at public events, corporate facilities, and residential complexes across the city. All Paramedic personnel must be registered with the Maharashtra State Health Department and shall carry valid identification badges at all times while on duty in India Mumbai.
- Commencement Date: The Paramedic services under this Purchase Order shall commence on 01 July 2025 and shall continue for a period of twelve (12) months, subject to annual review and renewal by the Buyer.
- Service Level Agreement (SLA): The Supplier guarantees that a Paramedic unit shall reach any location within India Mumbai within a maximum response time of 8 minutes from the time of dispatch. Failure to meet this SLA for more than 5% of incidents in any calendar month shall attract a penalty of 2% of the monthly contract value.
- Payment Terms: Payment shall be made on a monthly basis within 30 days of receipt of a valid tax invoice from the Supplier. Payment shall be processed via NEFT/RTGS to the bank account designated by LifeBridge Paramedic Services Pvt. Ltd. No advance payment shall be made under this Purchase Order.
- Compliance: The Supplier shall ensure that all Paramedic staff comply with the Indian Medical Council (Professional Conduct) Regulations, the Maharashtra Ambulance Services Act, and all applicable labour laws of India Mumbai. The Supplier shall maintain valid insurance coverage for all Paramedic personnel and ambulance units.
- Confidentiality: All patient data, incident reports, and operational records generated during the provision of Paramedic services in India Mumbai shall be treated as strictly confidential and shall be handled in accordance with the Digital Personal Data Protection Act, 2023.
- Termination: Either party may terminate this Purchase Order with a written notice of 60 days. In the event of material breach by the Supplier, the Buyer reserves the right to terminate immediately upon written notice without any further liability.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of India. Any disputes arising shall be subject to the exclusive jurisdiction of the competent courts in India Mumbai, Maharashtra.
- Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters, pandemics, government orders, or civil unrest affecting India Mumbai.
By signing below, both parties acknowledge and agree to all terms, conditions, and specifications outlined in this Purchase Order for the procurement of Paramedic services in India Mumbai. This document constitutes a binding agreement between the Buyer and the Supplier effective from the date of the last signature.
