4. Service response time for all Paramedic units within the boundaries of India New Delhi shall not exceed fifteen (15) minutes from the time of emergency call receipt, as mandated by the Delhi Emergency Medical Services Act, 2019.
5. The Vendor shall maintain a minimum of 95% Paramedic availability at all times. Any shortfall below this threshold shall attract a penalty of ₹5,000 per missing Paramedic-hour, as per the terms of this Purchase Order.
6. Payment shall be processed via NEFT/RTGS to the Vendor's designated bank account in New Delhi, India, within thirty (30) days of receipt of a valid tax invoice and service completion certificate.
7. This Purchase Order is subject to the Indian Contract Act, 1872, and all applicable labor laws of the National Capital Territory of Delhi. Any disputes arising from this Purchase Order shall be resolved through arbitration in New Delhi, India, in accordance with the Arbitration and Conciliation Act, 1996.
8. The Vendor shall comply with all data protection requirements under the Digital Personal Data Protection Act, 2023, regarding patient information handled by Paramedic staff in India New Delhi.
9. DEMSC reserves the right to terminate this Purchase Order with thirty (30) days' written notice in the event of persistent non-compliance, gross negligence, or failure to maintain required Paramedic certification standards.
10. All equipment, uniforms, and medical supplies procured under this Purchase Order shall remain the property of DEMSC and shall be returned upon contract termination.

The Vendor shall complete the onboarding, background verification, and initial deployment of all Paramedic personnel across the designated ambulance stations in India New Delhi no later than 30 June 2025. A detailed deployment roster, including shift schedules for all 40 Paramedic positions, shall be submitted to DEMSC's Procurement Division at Connaught Place, New Delhi, at least seven (7) days prior to the commencement date. The first operational shift under this Purchase Order shall commence at 06:00 IST on 01 July 2025.

This Purchase Order is issued and authorized by the undersigned on behalf of Delhi Emergency Medical Services Corporation. The Vendor's acceptance of this Purchase Order shall be confirmed in writing within five (5) business days of receipt. Failure to confirm within the stipulated period shall be construed as rejection of this Purchase Order.
