3. DELIVERY AND DEPLOYMENT TERMS

All Paramedic personnel shall report for duty at the AEMSC Central Command Station located at 12 Boulevard de la Paix, Cocody, Abidjan, Ivory Coast, no later than 08:00 hours on 01 August 2025. Emergency response vehicles and equipment shall be delivered to the same location by 25 July 2025. The Supplier guarantees that all Paramedic staff engaged under this Purchase Order hold valid Ivorian medical practice licenses issued by the Ordre des Médecins de Côte d'Ivoire and possess current ALS/EMT certifications recognized by the Abidjan municipal health authority. All vehicles shall bear the official Ivory Coast Abidjan emergency service livery and carry valid registration plates issued by the Direction des Transports de Côte d'Ivoire.

4. TERMS AND CONDITIONS
  1. Compliance: All Paramedic services rendered under this Purchase Order shall strictly adhere to the laws of the Republic of Côte d'Ivoire, including but not limited to the Code de la Santé Publique, the Labour Code of Ivory Coast, and all municipal regulations governing emergency medical services in Abidjan.
  2. Performance Standards: The contracted Paramedic personnel shall maintain a response time of no more than 12 minutes for Zone A (Cocody, Plateau, Marcory) and no more than 18 minutes for Zone B (Yopougon, Abobo, Treichville, Adjamé) within the Abidjan metropolitan area. Failure to meet these benchmarks for three consecutive months shall constitute material breach of this Purchase Order.
  3. Payment Schedule: Payment shall be made in three equal installments: 40% upon successful delivery and deployment of all Paramedic personnel and equipment; 30% upon completion of the first six-month performance review; and 30% upon successful completion of the 12-month contract term. All payments shall be made in XOF (CFA Franc) via bank transfer to the Supplier's designated account in Abidjan, Ivory Coast.
  4. Insurance and Liability: The Supplier shall maintain comprehensive professional liability insurance covering all Paramedic personnel at a minimum coverage of 50,000,000 XOF per incident. Insurance policies shall be issued by a carrier licensed to operate in Ivory Coast and shall name AEMSC as an additional insured party.
  5. Confidentiality: All patient data collected by Paramedic personnel during emergency response operations in Abidjan shall be handled in strict accordance with the Ivorian data protection law (Loi n° 2013-450 du 19 décembre 2013) and the AEMSC internal data governance policy.
  6. Termination: Either party may terminate this Purchase Order with 60 days' written notice. In the event of termination, the Supplier shall ensure a minimum 30-day transition period during which Paramedic services remain fully operational in Abidjan to prevent disruption of emergency medical coverage.
  7. Dispute Resolution: Any disputes arising from this Purchase Order shall be resolved through mediation in Abidjan, Ivory Coast, in accordance with the rules of the Centre de Médiation et d'Arbitrage de Côte d'Ivoire (CMA-CI). The governing law shall be the law of the Republic of Côte d'Ivoire.
  8. Force Majeure: Neither party shall be liable for delays caused by events beyond reasonable control, including but not limited to civil unrest, epidemics declared by the Ivorian Ministry of Health, or infrastructure failures affecting the Abidjan metropolitan area.
