All Paramedic personnel referenced in this Purchase Order shall complete onboarding and be fully deployed to their assigned Japan Kyoto stations no later than August 1, 2025. Emergency response vehicles (Item 04) must be delivered, inspected, and registered with the Japan Kyoto Metropolitan Police Bureau by July 15, 2025. The Paramedic dispatch and communication system (Item 06) must be installed, tested, and integrated with the existing Japan Kyoto emergency network by July 20, 2025. The Paramedic training program (Item 03) shall be conducted at the Nippon Advanced Paramedic Solutions training facility located in Japan Kyoto, Nakagyo-ku, over a period of six weeks commencing June 20, 2025. Payment for this Purchase Order shall be made in three installments via bank transfer to the account designated by Nippon Advanced Paramedic Solutions Co., Ltd.
Installment 1 (30%): JPY 237,283,200 – Due upon execution of this Purchase Order and confirmation of Paramedic personnel roster for Japan Kyoto.
Installment 2 (40%): JPY 316,377,600 – Due upon successful delivery and inspection of all Paramedic vehicles and completion of the Paramedic dispatch system installation in Japan Kyoto.
Installment 3 (30%): JPY 237,283,200 – Due upon full deployment of all Paramedic staff and completion of the Paramedic training program, no later than August 15, 2025.
Late payments shall incur a penalty of 1.5% per month as stipulated under Japanese commercial law.
  • All Paramedic services rendered under this Purchase Order in Japan Kyoto shall adhere to the Japanese Emergency Medical Services Act (Kyuugo Hoken Ho) and the specific operational guidelines issued by the Japan Kyoto Prefectural Government.
  • The Supplier guarantees that every Paramedic assigned to Japan Kyoto shall maintain a valid license, current CPR certification, and a clean disciplinary record. Failure to meet these standards shall constitute a material breach of this Purchase Order.
  • The Supplier shall provide a minimum of 98% operational availability for all Paramedic units stationed in Japan Kyoto. Downtime exceeding 2% shall result in a proportional reduction of the service fee for the affected period.
  • All Paramedic emergency response vehicles delivered under this Purchase Order must meet Japan Kyoto municipal vehicle registration standards and be equipped with Japanese-language emergency signage and communication devices.
  • The Supplier shall maintain comprehensive liability insurance covering all Paramedic personnel, vehicles, and operations within Japan Kyoto, with a minimum coverage of JPY 500,000,000 per incident.
  • This Purchase Order is governed by the laws of Japan. Any disputes arising from this Purchase Order shall be resolved through arbitration in Japan Kyoto in accordance with the rules of the Japan Commercial Arbitration Association.
  • The Supplier shall comply with all data protection requirements under the Japanese Act on the Protection of Personal Information (APPI) when handling patient data collected by Paramedic personnel in Japan Kyoto.
  • This Purchase Order may be amended only by written mutual agreement signed by authorized representatives of both parties. No verbal modifications to the scope of Paramedic services in Japan Kyoto shall be binding.
