All prices are quoted in Japanese Yen (JPY). This Purchase Order is subject to the standard 10% consumption tax applicable in Japan Osaka. No additional duties or import taxes apply as all Paramedic personnel and equipment are sourced domestically within Japan Osaka.

Phase 1 – Initial Paramedic Deployment: All 66 Paramedic personnel shall be fully deployed and operational across Japan Osaka emergency response zones no later than August 1, 2025. Each Paramedic shall report to their assigned Japan Osaka fire station or emergency medical unit for orientation and integration into the existing 119 emergency dispatch network.

Phase 2 – Equipment Installation: All Paramedic medical equipment packages (Item 004) shall be installed, calibrated, and certified for use in Japan Osaka ambulance units by August 15, 2025. The Paramedic dispatch and communication system (Item 007) shall be fully integrated with the Japan Osaka metropolitan emergency network by August 20, 2025.

Phase 3 – Training Completion: All Paramedic continuing education modules and simulation training (Items 005 and 008) shall be completed by September 30, 2025, ensuring full compliance with Japan Osaka emergency medical service standards.

7.1 This Purchase Order is governed by the laws of Japan and the specific municipal regulations of Japan Osaka Prefecture. Any disputes arising from this Purchase Order shall be resolved through arbitration in Japan Osaka under the Japan Commercial Arbitration Association.

7.2 The Supplier guarantees that all Paramedic personnel engaged under this Purchase Order hold valid Japanese Paramedic Licenses (Kyuukyuusha) issued by the Japan Osaka Prefectural Board of Emergency Medical Services. Each Paramedic shall maintain current certification throughout the duration of this Purchase Order.

7.3 Payment terms: 30% advance payment upon acceptance of this Purchase Order, 40% upon completion of Phase 1 deployment in Japan Osaka, and 30% upon final acceptance after Phase 3 training completion. All payments shall be made via bank transfer to the Supplier's designated account in Japan Osaka.

7.4 The Supplier shall maintain comprehensive liability insurance covering all Paramedic personnel operating within the Japan Osaka metropolitan area, with a minimum coverage of 500,000,000 JPY per incident.

7.5 Termination: Either party may terminate this Purchase Order with 90 days' written notice. In the event of early termination, the Buyer shall compensate the Supplier for all Paramedic personnel already deployed and equipment already installed in Japan Osaka, prorated to the date of termination.

7.6 The Supplier shall comply with all data protection requirements under Japan's Act on the Protection of Personal Information (APPI) regarding any patient data handled by Paramedic personnel in Japan Osaka.

This Purchase Order becomes effective upon signature by both parties. By signing below, both the Buyer and the Supplier acknowledge and agree to all terms, conditions, and obligations outlined in this Purchase Order for the provision of Paramedic services in Japan Osaka.
