All Paramedic personnel contracted under this Purchase Order shall complete onboarding, medical clearance, and initial deployment training within thirty (30) calendar days from the date of acceptance of this Purchase Order. The first cohort of Paramedic staff shall be fully operational in Kazakhstan Almaty no later than 15 July 2025. Emergency response vehicles and medical equipment shall be delivered to the Almaty City EMS Central Dispatch Facility located at 42 Abay Avenue, Kazakhstan Almaty, within forty-five (45) days of the Purchase Order effective date. The GPS tracking and dispatch communication system shall be installed, tested, and certified for operational use within sixty (60) days.
- Payment Method: Bank transfer to the Supplier's designated account in tenge (KZT) or US dollars (USD) at the National Bank of Kazakhstan exchange rate on the date of invoice.
- Initial Payment (30%): Due within ten (10) business days of Purchase Order acceptance, totaling 146,781,600 KZT.
- Second Payment (40%): Due upon confirmed delivery and inspection of all Paramedic equipment, vehicles, and the dispatch system, totaling 195,708,800 KZT.
- Final Payment (30%): Due upon successful completion of the first full quarter of Paramedic operational service in Kazakhstan Almaty and submission of a satisfactory performance report, totaling 146,781,600 KZT.

- The Supplier guarantees that all medical equipment and vehicles delivered under this Purchase Order shall comply with the regulatory standards set forth by the Kazakhstan State Sanitary-Epidemiological Service and shall carry a minimum two-year manufacturer warranty.
- The Supplier shall maintain a minimum of 95% Paramedic staffing availability at all times. Failure to meet this threshold for more than three (3) consecutive days in any calendar month shall entitle the Buyer to a proportional reduction in the monthly service fee.
- All Paramedic operations conducted under this Purchase Order within Kazakhstan Almaty shall be subject to the oversight and quality audit of the Almaty City Emergency Medical Services Directorate no fewer than twice per quarter.
- The Supplier shall maintain comprehensive professional liability insurance covering all Paramedic personnel and equipment for the full duration of this Purchase Order, with a minimum coverage of 50,000,000 KZT per incident.
- Any modification, amendment, or cancellation of this Purchase Order must be executed in writing and signed by authorized representatives of both parties. Verbal agreements shall hold no legal force.
- This Purchase Order shall be governed by and interpreted in accordance with the Civil Code of the Republic of Kazakhstan and applicable procurement legislation. Any disputes arising from this Purchase Order shall be resolved through arbitration at the International Arbitration Center of the Astana International Financial Centre.
- The Supplier shall ensure that all Paramedic staff are provided with appropriate occupational health and safety protections, including regular psychological support services, given the demanding nature of emergency response work in Kazakhstan Almaty.
