This Purchase Order is issued by the Instituto de Servicios de Emergencia Médica to procure comprehensive Paramedic emergency medical services, specialized equipment, and ongoing operational support for the metropolitan area of Mexico Mexico City. All equipment and Paramedic personnel referenced in this Purchase Order shall be delivered and deployed to the designated emergency response stations across Mexico Mexico City no later than August 1, 2025. The supplier, Paramedic Solutions de América, S.A. de C.V., is responsible for the logistics, transportation, and installation of all hardware within the Mexico Mexico City metropolitan area. The Paramedic personnel shall complete onboarding, local regulatory registration, and borough-specific orientation within Mexico Mexico City prior to the commencement of active duty. The Purchase Order stipulates that a minimum of 80% of all line items must be operational by the stated deadline to avoid penalty clauses outlined in Section 7.
Payment for this Purchase Order shall be made in three installments via bank transfer to the supplier's designated account in Mexico Mexico City. The first installment of 40% (MXN 24,462,080.00) is due upon execution of this Purchase Order. The second installment of 40% (MXN 24,462,080.00) is due upon verified delivery and acceptance of all Paramedic equipment and personnel in Mexico Mexico City. The final installment of 20% (MXN 12,231,040.00) is due upon completion of the 30-day performance guarantee period. All payments are subject to the terms and conditions of this Purchase Order and applicable Mexican federal tax regulations.
6.1 This Purchase Order is governed by the commercial laws of the United Mexican States and the specific municipal regulations of Mexico Mexico City pertaining to emergency medical services procurement.
6.2 All Paramedic personnel must hold valid certification from the Consejo Médico Nacional and be registered with the local health authority in Mexico Mexico City. The supplier warrants that every Paramedic assigned under this Purchase Order meets or exceeds the minimum competency standards for advanced life support.
6.3 The supplier shall maintain a dedicated service center in Mexico Mexico City for the duration of this Purchase Order, ensuring that all Paramedic equipment can be serviced, repaired, or replaced within 48 hours of a reported malfunction.
6.4 Any modification, amendment, or cancellation of this Purchase Order must be executed in writing and signed by authorized representatives of both parties. Verbal agreements regarding Paramedic services in Mexico Mexico City shall not be binding.
6.5 The supplier assumes full liability for any damage, injury, or service interruption caused by defective Paramedic equipment or unqualified personnel operating within the jurisdiction of Mexico Mexico City.
6.6 This Purchase Order does not constitute a long-term employment contract. The Paramedic personnel are engaged as contracted service providers through the supplier entity.
Failure to meet the delivery and deployment deadlines specified in Section 4 of this Purchase Order shall result in a penalty of 0.5% of the total contract value per day of delay, up to a maximum of 10%. If the Paramedic service levels in Mexico Mexico City fall below the agreed-upon response time metrics (average response under 8 minutes within the central boroughs) for three consecutive months, the buyer reserves the right to terminate this Purchase Order with 30 days written notice and withhold the final installment.
This Purchase Order is hereby authorized and made effective upon the signatures of the undersigned representatives. By signing, both parties acknowledge and agree to all terms, conditions, and obligations set forth in this document regarding the procurement of Paramedic services and equipment for Mexico Mexico City.
