- Scope of Work: The Seller shall provide all Paramedic personnel, vehicles, equipment, training, and support services as specified in this Purchase Order for deployment and operation within the Morocco Casablanca metropolitan area. All Paramedic staff must hold valid Moroccan medical licences and be registered with the Moroccan Order of Physicians.
- Delivery and Deployment: All Paramedic ambulance vehicles and equipment shall be delivered to the designated locations in Morocco Casablanca no later than 01 August 2025. Paramedic personnel shall commence their 12-month service contract on the same date. Late delivery shall incur a penalty of 0.5% of the total Purchase Order value per calendar day of delay, capped at 10%.
- Payment Terms: Payment shall be made in three instalments: 30% upon signing of this Purchase Order, 50% upon successful delivery and inspection of all Paramedic vehicles and equipment in Casablanca, and 20% upon completion of the first 6-month service period. All payments shall be made via bank transfer to the Seller's account at Bank Al-Maghrib, Casablanca branch.
- Quality and Compliance: All Paramedic services and equipment must comply with the regulations set forth by the Moroccan Ministry of Health and the Grand Casablanca Regional Health Authority. Vehicles must meet Moroccan road safety standards and be registered with the local traffic authority in Casablanca.
- Warranty: The Seller provides a 24-month warranty on all Paramedic ambulance vehicles and a 12-month warranty on all electronic and medical equipment. Any defects discovered during the warranty period shall be repaired or replaced at no additional cost to the Buyer.
- Confidentiality: The Seller and all assigned Paramedic personnel shall maintain strict confidentiality regarding patient data and operational information in accordance with Moroccan data protection law (Law 09-08).
- Termination: Either party may terminate this Purchase Order with 60 days' written notice. In the event of termination, the Buyer shall pay for all Paramedic services rendered up to the termination date.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Kingdom of Morocco. Any disputes shall be resolved by the competent courts of Casablanca.
- Force Majeure: Neither party shall be liable for delays caused by events beyond reasonable control, including but not limited to natural disasters, government-mandated closures, or public health emergencies affecting Morocco Casablanca.
