All Paramedic equipment listed in this Purchase Order shall be delivered to the designated Paramedic stations and ambulance depots located within the Nepal Kathmandu metropolitan area, specifically at Bir Hospital, Patan Hospital, and the three satellite Paramedic response centers in Kirtipur, Bhaktapur, and Lalitpur. The supplier shall ensure that all Paramedic-grade devices are installed, calibrated, and tested on-site by certified technicians before handover. Delivery is expected within sixty (60) calendar days from the date of this Purchase Order. The supplier shall bear all transportation, customs clearance (where applicable for imported Paramedic components), and insurance costs up to the point of delivery in Nepal Kathmandu.

  1. Payment: Payment shall be made in three installments: 30% upon signing of this Purchase Order, 50% upon successful delivery and installation of all Paramedic equipment, and 20% upon completion of the Paramedic training program and final acceptance inspection in Nepal Kathmandu.
  2. Warranty: All Paramedic medical devices shall carry a minimum warranty of three (3) years from the date of installation. The supplier shall provide on-site repair and replacement services for any defective Paramedic equipment within forty-eight (48) hours of notification.
  3. Compliance: All items procured under this Purchase Order must meet the regulatory standards of the Nepal Medical Device Regulatory Authority and the World Health Organization (WHO) guidelines for Paramedic emergency care equipment.
  4. Training: The supplier shall conduct a comprehensive Paramedic Advanced Life Support training program for all 120 Paramedic personnel assigned to the Nepal Kathmandu emergency response fleet. Training shall be conducted at the Kathmandu Metropolitan Health Authority training facility.
  5. Penalties: For every day of delay beyond the stipulated delivery period, the supplier shall pay a penalty of 0.5% of the total Purchase Order value per day, up to a maximum of 10%.
  6. Dispute Resolution: Any disputes arising from this Purchase Order shall be resolved through arbitration in Kathmandu, Nepal, in accordance with the Arbitration Act of Nepal, 2055 (1998).
  7. Force Majeure: Neither party shall be liable for delays caused by natural disasters, government-imposed restrictions, or other events beyond reasonable control, provided written notice is given within seven (7) days.
  8. Confidentiality: All operational data, patient information, and Paramedic response protocols associated with this Purchase Order shall remain strictly confidential and shall not be disclosed to third parties without written consent.

This Purchase Order constitutes a binding agreement between the Kathmandu Metropolitan Health Authority and Himalayan MedTech Solutions Pvt. Ltd. for the procurement of Paramedic emergency response equipment and services for the Nepal Kathmandu metropolitan region. Both parties acknowledge that this Purchase Order supersedes all prior negotiations, quotations, and correspondence regarding the subject matter herein.
