TERMS AND CONDITIONS
  1. Scope of Work: The Supplier shall provide fully qualified and licensed Paramedic professionals, equipped ambulance vehicles, and all necessary medical supplies to deliver emergency medical response services across all 25 administrative divisions of Sri Lanka Colombo. All Paramedic personnel must hold valid certification from the Sri Lanka Nursing Association and the Ministry of Health.
  2. Service Period: This Purchase Order covers a twelve (12) month service period commencing on 1 July 2025 and concluding on 30 June 2026, unless extended by mutual written agreement between both parties.
  3. Response Time: All Paramedic units deployed in Sri Lanka Colombo shall respond to emergency calls within a maximum of eight (8) minutes from the time of dispatch. Failure to meet this standard for three consecutive incidents shall constitute a material breach of this Purchase Order.
  4. Payment Schedule: Payment shall be made within thirty (30) days of receipt of a valid invoice. Monthly invoices for Paramedic personnel and recurring services shall be submitted by the 5th of each month. Capital expenditure items (ambulances, equipment) shall be invoiced upon delivery and acceptance.
  5. Quality Assurance: The Supplier shall conduct quarterly performance reviews of all Paramedic staff. The Purchasing Party reserves the right to audit service delivery, vehicle condition, and medical supply inventory at any time with 48 hours' written notice.
  6. Insurance and Liability: The Supplier shall maintain comprehensive professional liability insurance covering all Paramedic operations in Sri Lanka Colombo with a minimum coverage of LKR 50,000,000 per incident. All ambulance vehicles shall carry valid third-party motor insurance.
  7. Termination: Either party may terminate this Purchase Order with sixty (60) days' written notice. In the event of material breach, the non-breaching party may terminate with fourteen (14) days' notice. Upon termination, all Paramedic personnel and equipment shall be returned or transferred as directed by the Purchasing Party.
  8. Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Democratic Socialist Republic of Sri Lanka. Any disputes shall be resolved through arbitration in Colombo, Sri Lanka, in accordance with the Arbitration Act No. 11 of 1995.
  9. Confidentiality: All patient data, operational protocols, and financial information exchanged under this Purchase Order shall be treated as strictly confidential and shall not be disclosed to third parties without prior written consent, in compliance with Sri Lankan data protection regulations.
  10. Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to natural disasters, civil unrest, government-imposed restrictions, or other events beyond reasonable control affecting operations in Sri Lanka Colombo.

Important Notice: This Purchase Order constitutes a legally binding agreement between the parties named herein. All Paramedic services rendered under this document shall be conducted in full compliance with the Sri Lanka Nursing Association standards, the Ministry of Health regulations, and all applicable municipal bylaws governing emergency medical services in Sri Lanka Colombo. This document is valid only when signed and stamped by both authorized representatives. Any amendments to this Purchase Order must be made in writing and signed by both parties. This Purchase Order is issued in two (2) original copies, one for each party.
