All Paramedic equipment and materials specified in this Purchase Order shall be delivered to the designated receiving facility at the Ministry of Health compound, Omdurman Road, Sudan Khartoum. The supplier shall bear all costs associated with international shipping, customs clearance at Port Sudan or Khartoum International Airport, inland transportation, and final delivery to the specified location within Sudan Khartoum.
The supplier is required to provide on-site installation, calibration, and operational demonstration of all Paramedic equipment in the presence of designated Ministry of Health inspectors. A minimum of two (2) weeks of on-site technical support by the supplier's Paramedic equipment engineers shall be provided in Sudan Khartoum following delivery to ensure all Paramedic personnel are fully operational with the new systems.
5.1. This Purchase Order is governed by the laws of the Republic of the Sudan and the United Nations Convention on Contracts for the International Sale of Goods (CISG).
5.2. The supplier warrants that all Paramedic equipment delivered under this Purchase Order shall be new, unused, and free from defects in materials and workmanship for a period of no less than twenty-four (24) months from the date of acceptance in Sudan Khartoum.
5.3. The supplier shall comply with all applicable Sudanese import regulations, health and safety standards, and licensing requirements for medical and Paramedic equipment within the Republic of the Sudan.
5.4. Late delivery beyond the stipulated date of 30 September 2025 shall incur a penalty of 0.5% of the total Purchase Order value per calendar day of delay, up to a maximum of 10% of the total value.
5.5. The buyer reserves the right to reject any Paramedic equipment that does not meet the specifications outlined in this Purchase Order or that fails to pass the acceptance inspection conducted in Sudan Khartoum.
5.6. All intellectual property related to the Paramedic training curriculum and dispatch software delivered under this Purchase Order shall be licensed for perpetual, non-exclusive use by the Ministry of Health in Sudan Khartoum.
Upon arrival in Sudan Khartoum, a joint inspection team comprising representatives from the Ministry of Health, the Khartoum State Emergency Services Directorate, and an independent medical equipment auditor shall conduct a full acceptance inspection of all Paramedic items listed in this Purchase Order. The inspection shall verify quantities, condition, functionality, and compliance with the specifications. A formal Acceptance Certificate shall be issued only upon satisfactory completion of all inspection criteria. The final 60% payment under this Purchase Order shall be released within thirty (30) days of the Acceptance Certificate being signed.
This Purchase Order for Paramedic services and equipment in Sudan Khartoum is authorized and binding upon the signatures of the undersigned representatives of both parties. No modification to this Purchase Order shall be valid unless executed in writing and signed by both parties.
