This Purchase Order is issued by the Bangkok Metropolitan Emergency Medical Services Authority (hereinafter referred to as the "Buyer") to Siam Paramedic Solutions Co., Ltd. (hereinafter referred to as the "Supplier") for the procurement of comprehensive Paramedic services, specialized medical equipment, and professional training programs to be deployed and utilized within the Thailand Bangkok metropolitan area. This Purchase Order governs all terms, conditions, deliverables, and financial obligations associated with the engagement of qualified Paramedic personnel and associated resources for emergency medical response operations across all fifty administrative districts of Bangkok, Thailand.

All Paramedic personnel, equipment, and services specified in this Purchase Order shall be delivered, deployed, and made fully operational within the Thailand Bangkok metropolitan area no later than 30 August 2025. The Supplier shall ensure that every Paramedic assigned under this Purchase Order has completed all required background checks, medical fitness examinations, and Thai Ministry of Public Health licensing verifications prior to deployment. Ambulance units and the Paramedic dispatch system must be installed, tested, and certified at the Bangkok Metropolitan Emergency Medical Services Authority headquarters located in Khlong Toei District, Thailand Bangkok, before the commencement of active service. Payment for this Purchase Order shall be made in Thai Baht (THB) via bank transfer to the Supplier's designated account. The Buyer shall remit 30% of the total Purchase Order value as an advance payment upon execution of this document. The remaining 70% shall be paid in three equal quarterly installments, due on the 5th of January, April, and July 2026, subject to satisfactory performance review of all Paramedic services and deliverables. Late payments shall incur a penalty of 1.5% per month as stipulated under Thai commercial law.
  • This Purchase Order is governed by the laws of the Kingdom of Thailand, including the Thai Civil and Commercial Code and applicable regulations of the Ministry of Public Health regarding Paramedic practice standards.
  • The Supplier warrants that all Paramedic personnel engaged under this Purchase Order hold valid, current Paramedic licenses issued by the Thai Ministry of Public Health and maintain professional liability insurance with a minimum coverage of THB 5,000,000 per Paramedic.
  • The Supplier shall maintain a minimum 95% Paramedic availability rate for all emergency response calls within Thailand Bangkok. Failure to meet this threshold for two consecutive months shall constitute a material breach of this Purchase Order.
  • All Paramedic operations conducted under this Purchase Order must comply with the Bangkok Metropolitan Administration's emergency response protocols and the National Emergency Medical Services Act of Thailand.
  • The Buyer reserves the right to audit Paramedic performance records, equipment maintenance logs, and training completion certificates at any reasonable time during the contract period.
  • Any dispute arising from this Purchase Order shall be resolved through arbitration in Bangkok, Thailand, in accordance with the rules of the Thai Arbitration Institute.
  • This Purchase Order may be terminated by either party with 60 days' written notice. Upon termination, all Paramedic personnel and equipment shall be returned to the Supplier within 14 days, and final settlement shall be completed within 30 days.
