Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Republic of Turkey, specifically the Turkish Public Procurement Law (Law No. 4734) and the Turkish Code of Obligations. All disputes arising from this Purchase Order related to the Paramedic services in Turkey Ankara shall be subject to the exclusive jurisdiction of the Ankara courts.
Delivery and Deployment: The Paramedic professional shall be fully deployed and operational within the Turkey Ankara metropolitan emergency response network no later than 30 days from the date of this Purchase Order. The supplier guarantees that the Paramedic holds a valid license issued by the Turkish Ministry of Health and meets all competency requirements for advanced pre-hospital care.
Payment Terms: Payment shall be made in quarterly installments via bank transfer to the supplier's designated account. The first installment of 25% is due upon successful deployment of the Paramedic in Turkey Ankara. Subsequent payments are due within 30 days of the end of each quarter, subject to satisfactory performance review by the Ankara Provincial Directorate of Health.
Performance Standards: The Paramedic shall respond to all 112 emergency dispatch calls within the Turkey Ankara service zone within a maximum of 8 minutes for urban areas and 15 minutes for suburban districts. Failure to meet response time targets for three consecutive months shall constitute a material breach of this Purchase Order.
Compliance and Reporting: The supplier shall submit monthly operational reports detailing all emergency interventions performed by the Paramedic in Turkey Ankara, including patient outcomes, response times, equipment usage, and any incidents. Reports shall be submitted to the Ankara Provincial Directorate of Health by the 5th business day of the following month.
Termination: Either party may terminate this Purchase Order with 60 days written notice. In the event of termination, the supplier shall ensure a minimum 30-day transition period during which the Paramedic continues full service in Turkey Ankara to prevent disruption of emergency medical coverage.
Confidentiality: All patient data, operational records, and proprietary information exchanged under this Purchase Order shall be treated as strictly confidential in compliance with Turkish personal data protection regulations (KVKK - Law No. 6698).
Force Majeure: Neither party shall be liable for delays or failures in performance resulting from events beyond reasonable control, including but not limited to natural disasters, epidemics, or government-mandated restrictions affecting emergency services in Turkey Ankara.
