  1. Compliance with Turkish Law: The Paramedic engaged under this Purchase Order shall hold a valid license issued by the Turkish Ministry of Health (T.C. Sağlık Bakanlığı) and shall comply with all regulations governing emergency medical services in Turkey Istanbul, including but not limited to the 112 Emergency Services Act and municipal bylaws of the Istanbul Metropolitan Municipality.
  2. Operational Area: All services rendered under this Purchase Order shall be performed exclusively within the administrative boundaries of Turkey Istanbul, encompassing both the European and Asian sides of the city. The Paramedic shall be stationed at the primary dispatch center located in the Beşiktaş district and shall respond to all emergency calls routed through the Turkey Istanbul 112 network.
  3. Working Hours and Availability: The Paramedic shall be available on a 24/7 rotational shift basis as dictated by the Turkey Istanbul emergency dispatch schedule. Each shift shall not exceed twelve (12) consecutive hours, with mandatory rest periods in accordance with Turkish labor law (4857 sayılı İş Kanunu).
  4. Payment Terms: Payment for this Purchase Order shall be made in monthly installments via bank transfer to the supplier's designated account in Turkey Istanbul. Invoices shall be submitted by the 5th business day of each month for services rendered in the preceding month. Payment shall be processed within fifteen (15) business days of invoice receipt. All amounts are denominated in Turkish Lira (TRY) and are subject to applicable Value Added Tax (KDV) at the prevailing rate in Turkey Istanbul.
  5. Performance Standards: The Paramedic shall maintain a minimum response time of eight (8) minutes from dispatch to on-scene arrival for all emergency calls within the Turkey Istanbul metropolitan zone. Failure to meet this standard for three (3) consecutive incidents shall trigger a formal performance review under this Purchase Order.
  6. Equipment Maintenance: All medical equipment procured under this Purchase Order shall be inspected, calibrated, and maintained in accordance with the manufacturer's specifications and the standards set by the Turkey Istanbul Health Directorate. The supplier shall bear full responsibility for equipment malfunction during the contract period.
  7. Confidentiality and Data Protection: The Paramedic and all personnel associated with this Purchase Order shall comply with the Turkish Personal Data Protection Law (KVKK – 6698 sayılı Kanun) and shall maintain strict confidentiality regarding all patient information encountered during emergency operations in Turkey Istanbul.
  8. Termination: Either party may terminate this Purchase Order with a written notice of thirty (30) days. In the event of termination, the supplier shall ensure a seamless transition of the Paramedic's duties to a replacement qualified professional within the Turkey Istanbul emergency services framework.
  9. Dispute Resolution: Any disputes arising from this Purchase Order shall be resolved through arbitration in Turkey Istanbul in accordance with the rules of the Istanbul Arbitration Institute (ISTAC). The governing law for this Purchase Order shall be the laws of the Republic of Turkey.
  10. Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters, epidemics, or government-mandated shutdowns affecting operations in Turkey Istanbul.

By signing below, both parties acknowledge that this Purchase Order constitutes a binding agreement for the procurement of Paramedic professional services and associated medical equipment for emergency response operations in Turkey Istanbul. This Purchase Order supersedes all prior negotiations, correspondence, and preliminary agreements between the parties regarding the subject matter herein.
